SCHEDULE

The name of the person discharging managerial responsibilities ("PDMR") in respect of whom this notification is made is Steen Lomholt-Thomsen.

On 9 August 2018 Estera Trust (Jersey) Limited as trustee of the AVEVA Group Employee Benefit Trust 2008 (the "EBT") purchased 13,209 ordinary shares of 3(5) /(9) pence each in AVEVA Group plc ("shares"). These shares were purchased in the market to enable the EBT to satisfy options to be granted under the AVEVA Group Management Bonus Deferred Share Scheme (the "Deferred Share Scheme") to the above-named PDMR.

These options serve as the mechanism to deliver shares on a deferred basis to recipients as a deferred bonus in respect of the financial year ended 31 March 2018.
