Total Voting Rights and Director Interests

Audioboom (AIM:BOOM), the leading spoken word audio on-demand platform, announces that the issued ordinary share capital of the Company as at the date of this announcement comprises 1,400,675,619 ordinary shares with one voting right per share ("Ordinary Shares"). This follows the admission of 112,000,000 new Ordinary Shares to trading on AIM on 22 May 2019 ("Admission"), issued pursuant to a placing and subscription to raise c. GBP2.8 million ("the Fundraise").

The Company does not hold any Ordinary Shares in treasury. Therefore, the total number of Ordinary Shares and voting rights in the Company is 1,400,675,619. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.

Michael Tobin, Non-Executive Chairman, subscribed for 3,600,000 Ordinary Shares in the Fundraise. Following Admission, Michael Tobin now holds 13,354,388 Ordinary Shares, representing approximately 0.95 per cent. of the Company's issued ordinary share capital.

Roger Maddock, a Non-Executive Director of the Company, subscribed for 2,000,000 Ordinary Shares in the Fundraise. The Preston Trust (being a trust for the benefit of the family of Roger Maddock) subscribed for 4,000,000 Ordinary Shares in the Fundraise. Following Admission, Roger Maddock is now directly and indirectly interest in a total of 33,846,160 Ordinary Shares, representing approximately 2.42 per cent. of the Company's issued ordinary share capital, which includes the 4,000,000 Ordinary Shares held via the Preston Trust.
