31/7/2009 10:15 | I would imagine that most licensees have rights to continue using the IP on the same terms should Arc be bought by a competitor, which I suppose accounts for the note on page 19. And they will have paid Synopsys, Cadence and other EDA companies for use of their tools and again, it is pretty standard that when you buy those tools you have to pay an additional fee to pass the licenses on to someone else. Part of any bidders due diligence process would be to check out those terms and work out how much it affects them. I'm struggling to see who would want to buy ARC, though. Maybe a large customer wants to ensure the technology roadmap continues by bringing it in-house? Or maybe someone wants a processor design team? | johnnymars | |
31/7/2009 09:51 | sconnellan Shareholders' assets at 31 Dec 2008 amounted to £21.5m of which £11.6m was Intangibles including £5.6m of Goodwill. Divided by 153m the per share figures come to 14.0p (as you say), 7.6p and 3.7p. Since then ARK has lost money. The cash balance had fallen from £12.7m to £9.8m by 30 April. Over the years ARK has spent very large sums on R&D that have been written off and do not appear in the balance sheet(£9.6m in 2008 and £7.4m in 2007, for example)and to my mind the important question is whether the fruits of all this expenditure are of value now. It may well be that they are very valuable indeed and would be of even greater value to another party. I hope so and we should find out soon. On page 19 of the accounts is a note that"the group has significant agreements that contain termination and other rights for our counterparties upon a change of control of the company. The group is party to licensing agreements with major Electronic Design Automation software vendors............. "This is a standard contract term in software licenses" I don't suppose these restrictions would deter a bidder but, having spotted them in my perusal of the accounts,feel that I should mention them. | varies | |

I too have held these for years but the cash has leaked inexorably away and the prospect of ARK breaking into profit looks more distant than ever. Luckily for me I could not quite bring myself to bail out on the latest management statement although sorely tempted. Looking once more at the latest(very glossy)accounts I can find little reason for holding these shares except the hope that the current talks may lead to an attractive offer. It might even be that we are offered less than 15p. Fingers crossed I shall hold on. | varies | |
