Exercise of Options, PDMR Shareholdings and Total Voting Rights

Aquila, the quoted parent company of three main trading subsidiaries which provide professional consultancy and support services to organisations and businesses involved in the affordable housing, education, sports and community services sectors, are pleased to announce the following transactions which also represent an increase in shareholdings by employees:

-- The Company has received notice from Mr David Mairs, a director of one of the Company's subsidiary, to exercise an option to subscribe for 103,093 ordinary shares of 5p each ("Ordinary Shares") at a price of GBP0.05 per Ordinary Share. The notice was accepted as valid and having received funds of GBP5,155 the Company has accordingly issued and allotted 103,093 new Ordinary Shares (the "Option Shares").

-- Mrs Catherine Beazley a subsidiary director has on 12 March 2021 acquired 25,000 Ordinary Shares. This results in Mrs Beazley's shareholding being 30,000 ordinary shares representing 0.08% of the Company's existing share capital.

Applications have been made to the Financial Conduct Authority ("FCA") and the London Stock Exchange for the Option Shares to be admitted to the Official List and to trading on the London Stock Exchange's main market for listed securities (the "Admission"). It is expected that Admission will become effective on 19 March 2021.

Following the issue of the Option Shares, which on Admission will rank pari passu with the existing ordinary shares, the total number of Ordinary Shares in issue with voting rights in the Company will be 39,961,955 . There are no shares held in treasury.

The above figure of 39,961,955 may therefore be used by shareholders as the denominator for the calculation by which they may determine if they are required to notify their interest in, or change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
