The City Code on Takeovers and Mergers (the “Code”) has been developed since 1968 to reflect the collective opinion of those professionally involved in the field of takeovers as to appropriate business standards and as to how fairness to shareholders and an orderly framework for takeovers can be achieved. Following the implementation of the Takeovers Directive (2004/25/EC) (the “Directive”) by means of Part 28 of the Companies Act 2006 (the “Act”), the rules set out in the Code have a statutory basis in relation to the United Kingdom and comply with the relevant requirements of the Directive.

The rules set out in the Code also have a statutory basis in relation to the Isle of Man, Jersey and Guernsey.

When a person or group acquires interests in shares carrying 30% or more of the voting rights of a company, they must make a cash offer to all other shareholders at the highest price paid in the 12 months before the offer was announced (30% of the voting rights of a company is treated by the Code as the level at which effective control is obtained).

According to sweetie - "The problem is the death spiral provider already has about 24% and when they convert enough of the death spiral loan notes they go over 30% and have to make an offer for the entire issued share capital at the highest price they paid in the last 12 months, which is double the current price. They either dump enough shares ahead of that or they do not go ahead with the £450k (net to ADL - face value £500k) keep the lights on loan notes".

Anyway lesson one for tonight - you are wrong about the 30% -Andalas is incorporated in the Isle of Man and the Group’s principal country of operation is Indonesia. The Company is an IOM company and therefore the rights of shareholders may be different from the rights of shareholders in a UK incorporated company. The Company is not subject to the UK city code on Takeovers and Mergers.

Patch are you saying that today's close was not an all time low for ADL?

Are you saying the death spiral is not due to start on 1 Mar ie less than 2 weeks away?

Are you saying if the money gets pulled that ADL will not go bust?
