Weekend update and we now have 17 members in the AMC Shareholders Share Action Group with a combined holding of 45,730,797 shares so 45.73% of the way to our first target of 100m shares.

We are still all waiting for the Board to get their head out of the sand and spring into action and provide us with tax guidance on the tax consequences of their decision to pay shareholders a special dividend of 1.80 pence per share.

Not long till the end of the 2023/2024 tax year end which is the 5 April 2024 and when AMC shareholders submit their tax return they are going to need the Board to have a tax document on their website.

A reminder that foreign dividends are subject to UK dividends tax if you are tax resident in the UK and you do not hold your shares in an ISA or other tax exempt wrapper.

Amur Minerals is domiciled in the British Virgin Islands so the special dividend is a foreign dividend as it is paid by a non UK Company.

The special dividend was paid on the 14 June 2023 so it is now 9 months since it was paid and the Board have not still not provided shareholders with tax guidance! If they have not done so after all that time then it would seem as if they are not going to do so.

Imagine paying a special dividend of $27,121,700 converted into Sterling and not seeking advice on the tax consequences of doing so!

The sheriff and deputy sheriff do some great research and they expose the shenanigans that go on in the AIM market.

I did say that I would give an update re our group each weekend but seeing as the Scirocco Energy (SCIR) group with the support of GP Jersey was so successful in achieving a 80.19% vote of favour of a return of cash to shareholders via a member’s voluntary liquidation I thought I would give you an early update.

There are now 15 members with a combined holding of 43,916,203 shares!

Current members own 30,498,983 shares so we are 30.499% of the way to getting a combined holding of 100m and after that we will aim for 200m and more!

It is the end of the first week in creating an AMC Shareholders Share Action Group and 5 people have contacted me so far so there are 6 people in the group including me with a total shareholding of 25,771,987 which equates to an average shareholding of 4,295,331 per person.

Assuming the average continues to be 4,295,331 then we need just 24 members to meet the target of having just over 100m shares and 48 for 200m shares.

These are substantial shareholdings and as the majority of shareholders do not vote then it is possible to influence the results of voting on resolutions via a poll rather than a show of hands!

Going forward I will update you on the number of members and total shareholding at the end of each week.

Let's wait and see the details of the RTO so that we can individually decide what we want to do in terms of voting for it or against it but in the mean time let's increase the number of members so that we are prepared should we want to vote against the RTO or any other resolutions that we do not agree with.

Bear in mind some holders benefited from the status of the payment as a dividend and would be hard done by if the company were forced to revise that. I would hope a court might find it should be treated as a return of capital for yourselves without having that imposed post facto on everyone.

I had a similar problem myself with ELTA, had to pay a large tax bill for what was really just the return of my original investment.

The tax issue with the special dividend is yet another reason to create an AMC Shareholders Share Action Group as I will then have members email addresses and I can email you all the document that I am going to attach to my tax return.

It is highly likely that HMRC will be of the view that the special dividend is subject to UK dividends tax so we will have to argue the case in a tax tribunal that it is a return of capital rather than income in the hands of shareholders.

If the Judges decide in our favour then HMRC will have to process our tax returns based upon that decision.

The Board of AMC really have left AMC shareholders in the dark re the tax treatment of the special dividend as there is no guidance loaded onto the AMC website and the RNS stated "We have been advised that there are no capital gains or withholding tax issues on the disposal".

The above guidance only applies to the disposal of the subsidiary that owned the mining licence and not the payment of the special dividend.

Why did the Board not ask their tax advisors "what are the tax implications for shareholders if we pay them a special dividend?"

Both the advisors and the Board were paid sufficient money to provide an answer instead of burying their heads in the sand and hope the issue will go away!

Hello guys.

I had health problems for the last 3 years which prevented me from using the board or monitoring my AMC investment.

I had quite a large position. - £75k at around 2p if memory serves correct.

What is the current situation here? Is my investment completely lost.

Genius really, I wish I could get one of these gigs, Chase potential acquisitions whilst spending our remaining cash on salaries, don't find one in the time scale, delist, spend another 6 months spending the rest of the cash, then dissolution. Even if they found a company or an asset, would you trust them to monetise it? I'd rather just have what tiny amount of cash might be left and be done with it.
