Not a lot.

It is a loss making Paris listed company that took over some UK companies and changed its name from Grecemar. I quite like the idea of getting plastics out of the ocean, but I am not sure there is any money in it. It would be much better if plastics did not find their way into the ocean in the first place. I am unconvinced about solar panels, but the energy crisis should have helped profitability, but the share price has halved since Jul, which suggests it is all jam tomorrow and does not actually have anything generating cash right now. Hydrogen technology sound interesting, but I think that is one for the big boys and the little people won't stand much of a chance.

I have no idea what relevance it has here though, perhaps you could give your thoughts and explain their relevance.

I think you are 2 weeks away from looking like the person you truly are !

So are you saying it will be back trading in 2 weeks?

If it is not will you admit that I know a lot more about this than you do?

If it is back trading in 2 weeks I will admit you are a genius and never post about this company again and will try to get my uber dog threads deleted by ADVFN - deal?"

As that post was made on 28th Nov and it is now beyond 2 weeks, I was right.

I could not have been wrong because the minimum notice that needs to be given to hold a GM is 2 weeks and even now they are months away, if ever, from even being able to call a GM.

I am glad you take so much notice of my posts even if you can't remember the full text. Learning the market rules helps a lot too.

Could you find the post where I said that, as if I did and they do relist then I will be true to that word, but I don't recall ever making that statement.

Given your username, an honest answer please, if you were not already invested is this the sort of oil company you would consider buying?

Personally, it meets none of the criteria I use to decide whether it is worth doing further research. So if the broker were to call asking if I wanted to take part in the placing, I would say no thanks regardless of the price.

So we finally know - it's tiny. It's loss making, it needs cash. No date on when the prospectus might be out, but a CPR still needs to be done and that costs money ADV does not have.

We have some % but not what % ADV/BCE will hold and more importantly what overall no of shares will be and the price the £6m net of costs placing will be done at as none of those are known by anyone at the moment.

A long way to go still and lots still to go wrong, including Rhein pulling out and just doing an IPO on its own as happened at 3 of the 5. With the clock ticking on AIM delisting - 9 Mar Rhein hold all the aces and a gun to LB's head.

"In the event that the Proposed Transaction does not proceed the Company's share will remain suspended from trading as Beacon Energy has been a cash shell on AIM for more than 6 months."

Love the bit about 0p warrants - how many of those go to current BOD?

oilbuy could I please request that as a PREMIUM poster you now set up a new Beacon Energy / LSE:BCE thread based on todays RNS plus giving you the ability to not only MODERATE but also BAN any TROLLS such as you know who!

That TROLL and other TROLLS can then bang on and still get PAID by using other threads that no one will even ever read!

Beacon Energy CEO, Larry Bottomley, added :

"Since assuming the role of CEO on an interim basis, the entire Board has worked tirelessly to help me deliver value accretive opportunities from our compelling business development pipeline. It is with satisfaction that we have delivered the SPA and I take on the CEO role with considerable enthusiasm to develop a self-funding, production-led platform for growth. I look forward to working with the extended team on the acquisition and reverse takeover which, once complete, will underpin the Company with immediate cash flow and provide an active near-term work programme designed to grow production, cash flow and value for our shareholders."

Commenting on the signing of the SPA, Beacon Energy Non-Executive Chairman, Mark Rollins, said :

" We are delighted that we have signed the SPA with Tulip and DRAG on this compelling European O&G opportunity which has the potential to build a self-funding platform for growth from cash generative producing and development oil assets. As a Board, we have been impressed by the professionalism of the Rhein Petroleum operating team and look forward to working with them in unlocking the potential in the portfolio.

"I am also pleased that Larry has taken on the role of CEO, having assumed the role on an interim basis earlier this year at an important juncture for the Company. Larry, and the Board, have since made considerable efforts through this year, delivering important legacy outcomes and progressing the business development pipeline culminating in this SPA.

"We are also very pleased to have been able to call on the services of a high quality group of consultants with direct expertise in M&A and all the associated processes. As we enter an exciting period, we will call on their deep experience and knowledge, along with that of the rest of the Board, which will be key to our efforts to deliver on our strategy. "

The Board believes the Proposed Transaction will deliver:

· A full-cycle portfolio of largely operated production, development, appraisal and exploration assets located onshore Germany, a low political risk jurisdiction over licences as set out below

· A near-term active work programme designed to enhance production and cash flow

· An experienced operating team in Rhein Petroleum that has a track record of exploration, appraisal, development and production operations

· Strong HSE record and a firm commitment to environmentally responsible hydrocarbon production

· A well-understood existing production base, generating immediate revenue

· A material 2P net reserve base of 3.85 mmbbl and a 2C net contingent resource base of 22.96 mmbbl, located across four core assets as assessed by SGS Nederland B.V, and to be included in a Competent Person's Report ("CPR"), which will form part of the Admission Document to be sent to shareholders in due course

· A commercially attractive programme with the economic results of the CPR describe an NPV10 valuation of €52.8 million from the development and production of the 2P reserve base, assuming, inter alia, capex of €15.7 million for a 3 well programme and facilities upgrade and utilising forward oil pricing as at 14 November 2022

· An investment case which will be the basis for Beacon Energy seeking to carry out a placing to new and existing investors ("Placing") to raise approximately £6 million net of costs to finance the drilling , completion, tie-back and bringing into production the Schwarzbach-2 well and required working capital. Production from this well will be used to fund the forward development programme

· Access to a built-in growth pipeline of onshore, material, high-margin, low-risk and near-term development and appraisal opportunities

· A mix of low, medium and higher risk exploration opportunities with a cumulative best estimate un-risked net prospective resource base of 207.83 mmbbl with individual prospects that are potentially material

· Entry into a region where the Company sees significant potential for growth and where, over time, it believes a substantial business can be built

("Tulip") and Deutsche Rohstoff A.G. ("DRAG") (collectively, the "Sellers") relating to the purchase of the entire issued and to be issued share capital of Rhein Petroleum GmbH ("RheinPetroleum"), (the "ProposedTransaction").

Firstly, there are projects out there that needs a home as a PLC. The board have no experience with markets and prefers to take an RTO. A lot of O&G , junior explorer companies in Africa and other countries far off , do not have a great command of English and do not know the system but need a listing as they may not have the money to do an IPO. The cost of an IPO / RTO is now far greater than 500k , I can assure you of that. However, we are where we are with ADV. Let see if that can complete on time. If they can raise and more importantly at what price. This could be the one that makes it !

So what happened to your companies that did their RTO's ? Why did you not do an IPO as you say here? That's what the company here should have done instead of an RTO How well are they doing now, and are you involved today ?

I don't care about the past anyhow.I'm in at .11p and I'm willing to take a 27.5k loss if it doesn't work out.If it works out and with a good deal, it could hit 1pI'm happy to wait and see absolutely no stress for me.But I'm writing here as I have a position. Otherwise, I wouldn't bother.
