On 1 June 2017 share awards under the 3i Group Deferred Bonus Plan (the "Plan") held by the persons discharging managerial responsibilities named in the table below vested or were exercised. On that date the ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company ("Shares") shown in the column headed "Shares acquired" were either acquired by the person named or ceased to be subject to restrictions under the Plan. The Shares shown in the column headed "Shares sold" were sold on 1 June 2017 at a price of GBP9.187896 per share including to cover tax and National Insurance payable on the award vesting.
