Directorate Change and Issue of Shares


The Company announces today a change in the structure of the board of directors
("the Board") of Netb2b2.

John Robins, a non-executive director, has resigned from the Board with
immediate effect.

Martin Curry, a non-executive director, will also be resigning from the Board
over the course of the next few weeks but will be continuing in his role as
company secretary of Netb2b2.

In addition, the Company today placed 56 million ordinary shares at a price of
0.45p per share. An application has been made for the new ordinary shares to be
admitted to AIM and trading is expected to commence on 7 October 2003.

Keith Young, the Chairman of Netb2b2, commented: "I would like to thank John
Robins and Martin Curry for their valuable input and assistance during their
time with the Board. However, I believe that the current composition of the
Board better reflects the size and needs of Netb2b2 and the additional funds
raised will allow the Company to pursue potential opportunities for the
development of the business."
