Explanation of Responses:
(1)	Stock Awards granted pursuant to the Berkshire Hills Ban corp, Inc. 2013 Equity Compensation Plan vest 50% in three equal annual installments commencing on April 1, 20 17 with the remaining 50% vesting on April 1, 2019.
(2)	Stock Awards granted pursuant to the Berkshire Hills Bancorp, Inc. 2013 Equity Compensation Plan vest 50% in three equal annual installments commencing on April 1, 2018 with the remaining 50% vesting on April 1, 2020.
