WILLIAM SINCLAIR HOLDINGS PLC ('William Sinclair' or the 'Company')

Result of Tender Offer

William Sinclair announces that the tender offer to repurchase up to 6,095,000
ordinary shares at a price of 63p per share closed at 3 p.m. on 25 March 2003.

The Company received completed tender forms from shareholders for, in aggregate
9,625,054 ordinary shares, exceeding the maximum number of William Sinclair
shares for which the tender was made. Since the aggregate number of shares
tendered exceeded the maximum number of shares for which the tender was made,
all tenders above each shareholder's basic entitlement of 26.91 per cent will be
scaled down pro rata so that approximately 44.57 per cent of any shares tendered
in excess of the basic entitlement will be repurchased.

Settlement of the consideration due under the offer and the crediting of CREST
accounts is expected to be made by 3 April 2003.
