("SuperSeed Capital" or the "Company")

Issue of Equity and Warrants

SuperSeed Capital, a company established as a Venture Capital fund of funds for early-stage technology investing, announces that it has issued and allotted 80,000 new ordinary shares of no par value ("Ordinary Shares"), as part of its previously announced investment into Duel. In addition, the Company has issued warrants to its AQSE Corporate Adviser, VSA Capital Limited ("VSA Capital"), for the provision of financial advisory services.

Warrants

SuperSeed has agreed to issue VSA Capital 100,000 warrants over 100,000 ordinary shares which are exercisable at a strike price of 100 pence per share and are exercisable for a period of 6 months from the date of issue (the "Warrants").

Following the issuance of the Warrants, SuperSeed has a total of 100,000 warrants in issue, representing approximately 4.6% of the enlarged share capital assuming full exercise of all warrants.

Admission

Application has been made for the 80,000 new Ordinary Shares, which will rank pari passu with the existing Ordinary Shares in issue, to be admitted to trading on the Aquis Stock Exchange Growth Market ("Admission"). Admission is expected to occur at 8:00 a.m. on, or around, 30 November 2022.

Total Voting Rights

Following the issue of the 80,000 new ordinary shares, the issued share capital of the Company will be 2,080,000 Ordinary Shares. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interests in, or changes to their interests in, the Company under the FCA's Disclosure and Transparency Rules.
