11/4/2005 14:20 | RNS Number:9023K Cambridge Mineral Resources PLC 11 April 2005 Cambridge Mineral Resources plc Result of EGM On 17 March 2005, the board of Cambridge Mineral Resources plc ("Cambridge" or the "Company") announced the proposed acquisition of a portfolio of mineral interests in Bulgaria and Serbia from Hereward Ventures plc ("Hereward") (the "Acquisition") for an aggregate consideration of US$1,500,000 (approximately #777,200) to be satisfied by the issue by the Company of 7,971,303 ordinary shares at a price of 9.75p per share. Although there was no requirement to obtain the approval of shareholders for the Acquisition either under the Companies Act or the AiM Rules, the board of Cambridge considered it appropriate, in view of the close links between the Cambridge and Hereward boards, to submit the Acquisition to shareholders for their approval. At the Extraordinary General Meeting, which took place earlier today, the resolution put to shareholders to approve the Acquisition was duly passed. In accordance with their intentions as stated in the circular to shareholders dated 17 March 2005, following the Extraordinary General Meeting, Gary Massingill and Joe O'Farrell have resigned as directors of the Company. David Bramhill, Managing Director of Cambridge, said: "We are delighted that shareholders have approved the acquisition of the Bulgarian and Serbian mineral interests. The potential of the licences has been demonstrated through the recent joint venture with Ivanhoe Mines Limited, a major mining group.
