             Proposed acquisition of a majority interest in Vfw AG


Pursuant to the tender offer for Vfw AG ("Vfw") announced on 2 September 2003
and which closed yesterday, Tibbett & Britten Group plc received acceptances in
respect of 4,474,691 shares, representing approximately 62.1 per cent. of Vfw's
share capital.

The tender offer and the separate purchase of the 27.7 per cent. shareholding in
Vfw held by Clemens Reif, the Chief Executive and his Family, which together
would give Tibbett & Britten approximately 89.8 per cent. of the issued Vfw
shares, remain conditional on German competition approval, expected by the end
of this month.  A further announcement will be made in due course.
