Directors Share Awards

Gresham Technologies plc (LSE: "GHT", "Gresham", "Company"), the leading software and services company that specialises in providing solutions for data integrity and control, banking integration, payments and cash management, announces the grant of share awards to the executive directors of the Company, pursuant to the Group's annual bonus plan and long-term incentive scheme.

The following existing ordinary shares have been awarded to Ian Manocha, CEO and Tom Mullan, CFO (together, the "Executive Directors"), pursuant to the Company's Deferred Share Bonus Plan (the "Bonus Plan Shares") in respect of FY19 performance. In addition, the Executive Directors have been granted the following corresponding ordinary share matching awards (the "Share Matching Awards"):

* Maximum potential award. Actual values will be based on performance targets over the following three financial years.

The acquisition of the Bonus Plan Shares has been funded through a proportion of the Executive Directors' cash bonus entitlement and are beneficially held through the Company's global nominee service. The Share Matching Award entitles the Executive Directors to receive further ordinary shares, up to the maximum stated above, subject to (a) the Executive Director's Bonus Plan Shares being retained for a specified period; (b) the satisfaction of relevant performance targets over the following three financial years; and (c) the Executive Director remaining with the business at the end of the retention period.

Following the acquisition of the Bonus Plan Shares, Ian Manocha is directly and beneficially interested in a total of 88,685 ordinary shares of the Company, equivalent to 0.13% of the Company's issued share capital and Tom Mullan is directly and beneficially interested in a total of 19,826 ordinary shares of the Company, equivalent to 0.03% of the Company's issued share capital.
