CAPITAL & REGIONAL PLC (THE "COMPANY" OR "C&R")

APPLICATION FOR ADMISSION OF SUBSCRIPTION SHARES

Pursuant to the Growthpoint subscription, C&R confirms that an application has been made to the Financial Conduct Authority for admission of 311,451,258 new ordinary shares of 1 pence each to be issued to Growthpoint ("Subscription Shares") to the premium listing segment of the Official List maintained by the Financial Conduct Authority, and to the London Stock Exchange plc and the Johannesburg Stock Exchange for admission to trading of the Subscription Shares.

Admission is expected to become effective on 09 December 2019 at 8.00am (London time) on the LSE main market for listed securities and on the Main Board of the JSE at 9.00am (South African time). The Subscription Shares will, when issued, be credited as fully paid and will rank pari passu in all respects with the existing issued ordinary shares of C&R.
