Not many working days on or before 26th December (though that's probably a working day in the US). I'm assuming approval is from UK, so only the panel will.be around.So my money's on either tomorrow or, more likely, another extension.

Bidco won’t buy unless they get clearance surely. It’s not a done deal until so always a risk.

well the bid price is gradually creeping down.......and I can no longer sell my entireholding .... do I read into that they dont really want to buy lots of shares so the deal is less likely to go through. To me if it were likely to go through Bidco would be buying all they could at a 12% discount?

I hope it’s just wording to cover all possible outcomes. They’ve completed due diligence so it’s just a matter of clearance. It’s obvious the SPE board wouldn’t have agreed on a sale unless the £10 was cash imho but like everything there’s always a risk like clearance not being given.

Not for the faint hearted given it’s 10% upside or 50% loss if it doesn’t manage to go through.

IMHO it will go through, just waiting on regulatory clearance sometime in late December. The delay in the PUSU maybe means the MM’s are reluctant to take on too much stock as sells vastly outnumbered buying. 🤞 as I’ve been buying a few.

boadicea - thanks - your understanding of the language is the same as mine...but I am not convinced that Bidco's is. And yes the differential cf the offer price is a concern. Interesting too the other day I tried a dummy trade and couldnt get a price for just over 2000 shares -which makes me less positive it will go through. Prior to that I had been able to get a quote for all. The bid price had also dropped a couple of p in the last few days.

janeann - If their understanding of English is the same as mine, it appears that the alternative form is 'in addition', not 'instead of' cash, i.e it is an optional rather than a compulsory alternative.

Quote: "Bidco reserves the right to offer an alternative form of consideration, in addition to the cash consideration contemplated by the Possible Offer."

This is often done as a temporary option for the benefit of those who may find it preferable to postpone crystallisation of a capital gain until a later tax period. It probably does not mean the offer of alternative equity.
The slightly curious factor is the level of doubt implied by a discount of over 8% at the current price.

Presumably the value of any non-cash component would be reflected in the SPE price.You can always vote against the offer or sell your shares in the market.They can normally only force you to sell if 90% of "shares" agree.
