Scheme document has been out a few days now. If you want to have any chance of extracting a higher price you need to vote against the resolution (see post above). If the scheme passes, you get your money even if you voted against, so what's to lose by trying?

Always worth voting against a Scheme of Arrangement where a vote against is worth at least 3 votes for. The Court won't sanction a Scheme if there isn't massive backing for it.
It looks like previous vendors of businesses who are owed money are the ones nicking the company now. CEO apparently not involved in Newco and not sufficiently incentivised to put up a fight.
If we want more money we are going to have to fight for it by voting against the Scheme.

Management here will have agreed nice new roles with the acquirers, so happy days for them.

As usual, loyal shareholders ripped off..

I did a copy of point 3.

Surely there is a chance of a straight 20 % profit if the bid goes through at 0.5.

As i bought at 0.4.

Plus excitment if a counter bid comes in?

1. Advanced talks about a cash bid at 0.5p per share.
2. Generally derided as massively undervaluing the company.
3. Can buy the shares in reasonable size at 0.4p.

I agree. They should release a statement stating that they do not think the 0.5p offer price is a reasonable valuation for the company (which it isn't), to make it clear that any offer would need to be at a much higher level. They should also state that they are not in a position where they need to sell the company.They must know that shareholders would reject a 0.5p offer as things stand.

The management should not be discussing the low ball offer as announced, they should have rejected it straight away and announced just that.

It feels more like a recommendation will come next, which if it does will make no sense at all.

Agree with the Realist - I smell a rat. MSQ is private equity backed who have no doubt greased the palms of our senior management to sell us out absurdly cheaply. Happens far too often. Explains why our CEO never bought any shares when it must have been clear how cheap they were.
No doubt we'll get all the threats about de-listing the shares if it doesn't go through. Despite very healthy options packages they just can't help themselves.

It would make no sense for the board to recommend the deal or for shareholders to accept it.The list of significant shareholders (>3% holdings) takes up about 65% of the shares in issue, and all of them have averages many multiples of the potential offer price.The offer would only be worth £6m. BHRD have £2.4m net cash, so the offer would only actually value the company at £3.6m. Group revenue for last 12 months was £30m with an EBITDA of £4.7m and cash generation of £5.9m. The company have also stated that they expect to remain profitable and cash generative despite the effects of the pandemic. It therefore looks like a very low-ball offer and would undoubtably be rejected by shareholders.What it does do, however, is show the true value of BHRD going forward, which looks to be a lot more than the offer price and the current market cap.

All recent director buys (2018) were at 1-2.5p...So recommending such a low ball offer does not really make any sense.

Looking at the MSQ Partners their website is awful...I was surprised by the number of directors for a small company!!

MSQ turnover for 2019 FY was only £1.9m. Tiny

MSQ are owned by Ensco which is in turn PE backed.

Aside from Peter Scott, Nigel Wray is a City force to be reckoned with, and in no way would take such a stake here without proper due diligence and the prospect of exceptional gains going forward.
Even back in the late 70's and 80's followers of Wray were usually well rewarded.
There is no reason to think other than the above here.
I believe over the coming months and years this will slowly grow into a very large and remarkable company indeed.

I have been following this board for a couple of weeks or so now.
I intend to make a reasonable investment here in the morning up to 4.7p of around 500-750,000 shares.
I will post my buy as soon as my broker confirms it.
I'm also in total agreement that this will be a very rapid success, as the groundwork has already been done.
