22/6/2010 23:55 | was at last week's AGM As last year intervention from a former directors commenting on how badly the company has been run. Chairman seemed optimistic about the opportunities there will be in the UK political sphere and potential for organic growth. As they said in the trading statement on the one hand there are real cuts in the public sector area but on the other a real thirst for knowledge on the personalities of the new government and their policies. Expressed themselves happy with their performance in Europe last year given there was a big dead period when the new commission was being appointed. More and more of their UK business is becoming annuity type business ie where the fees are being locked in over a number of years rather than their traditional tactical business. This was not quantified. Still have some tax loss carryforwards. Big question were their Head Office costs-in 09 were £989k up from £860k in 08, which now will have to be born solely by the political business. Will be saving a relatively small amount by moving to lower premises. The bulk of it is corporate overhead..alot to do with keeping their AIM quotation. Auditor's fees have been 99kpa for the last two years. If the company was not quoted the director's remuneration would be less than the £520k in '09; the highest paid director-presumably Murray-got £271k including pension contribution but alot of the other £250k could one assumes be saved. With hindsight should have questioned more a comment made by the NED who chairs the remuneration committee that they are looking at rebasing the options. Virtually all of the options are at either 15p or 10p and this did deserve questioning. One cannot help but feel that is the last AGM that the company will have as a private company as here will be a major corporate action in the next 12 months | cerrito | |
