If the board takes the view that private investors don't count but saw the share price rise on the back of buying by them, and they were discussing a takeover at a discount to market price, they should have made an announcement to correct the false market which had developed.

Why the silence which has resulted in investors buying when the board knew that a loss was the only possible outcome? Now you can't even sell at the offer price - N+1 is paying 110p so they'll make a profit in addition to their fee for advising the company. Shouldn't they be paying 112.5p?

Looks like a number of institutions have not accepted the offer - maybe they are hoping there will be another bid.

Most upset. Don't remember ever seeing a statement quite like that before in a company trading well. So, only institutional trades count! I didn't know EGS had two classes of share!!

The share first traded at 112p on 26 July, so 6 weeks ago. And plenty of trades since.

Hmmm. Plenty to mull over...

Why do Verint refer to acquiring "Elektra"? Is this another name for EGS? Googling EG Elektra produces no hits.......
Any clues chaps......?

I disagree with you guys. I reckon the bid price is reflective of the run up from 60p. It's obviously been leaked out a bid is coming hence the 100% increase in the last three months. Is this an AIM stock? If so what do you expect. The PI's always come last.

I agree with Nick. But 68% irrevoc undertakings unless cash offer 10% higher. Fingers crossed then that another buyer turns up, after all, what's £28m? IMHO 112.5p is a fair price now but would not be in 2 years time if company grows at current rate. Shame on the Directors and institutions for taking short term cash.

This is outrageous how a company can accept an offer lower than market price and on the share price average of three and six months ago. I have never seen anything like it in 30 years . Something suspicious going on here. Why would the board accept a lower offer than market price

The next one to be bought out is STR imho, same chairman. They also have strong cash and on a sub sector EV/EBITDA and growing strongly.

Did it really czar. It must have been an intraday high. Looking at the chart it has a high of 135p. There is quite a spread so that's probably where I got 130p from. I'm quite happy anyway. One thing there was a bit of a drop yesterday so news was obviously leaked. Also explains the climb from 62p to 135p

I sold at 108p after buying in at 62p. Bit miffed as it went to 130p be hey I can't complain. As someone has already pointed out this would have been a good bid 6 months ago

dissappointing price..noting the success in contracts that EGS has been having...& rosy 1-2 year future already booked...

I guess that partly influenced by
- founder happy to cash in due to age and years waiting
- new chairman having bought shares & getting options much lower down not so long ago so he books a large % gain per year....if he can repeat that then he's laughing..

- the new chair was perhaps brought in to achieve this...for the founder

I'm not surprised there is a bid for this Company but I am disappointed with the price. The market was just starting to warm to this Company and it is delivering in spades. I suppose that is the time to sell. A month back this would seem a good price I suppose.

(not normal PI buys imho at that size & looking at trades data)

when already over bought

smells of insider trading to me
