Rocketeer, your right the liquidity in this is pathetic, i have got loads of shares and i tried to sell £2000 to test the market, the brokers cant even face doing that. They are rigging alot of different smaller companies share prices, robbing investors and getting away with it. Their analyst values the company at atleast 4p but the mm refuse to take on any shares.

Apart from substantial dilution, nothing appears to have changed.
Perhaps you should have added...."but don't hold your breath..."

Continue buying says todays Sunday Telegraph:

Zipcom

Back in October 2001 we advised readers to look at an Aim-listed minnow, Zipcom, which provides telecoms services to small and medium sized businesses. It has not proved to be the most profitable tip - the shares which were then trading at 5p have halved to 2.25p.

However, last week Zipcom unveiled plans for a reverse takeover of rival telecoms company Transigent, which will increase revenues and market share and strengthen its balance sheet. This is not the time to be bailing out. Keep buying.

Upbeat article in news section of todays IC(p20)

IC VIEW: The collapse of peers such as World Coms, Atlantic Telecom and Global Crossing has helped to reduce crowding. By combining both operations (Zipcom and Transigent)Zipcom could become a leading player in the supply of local loop telecom services.

Watch them now. There was a 3,500,000 sell today. It was heavy institutional selling that brought the shareprice this low in the first place. The co. claimed then that it was a "forced seller" but perhaps it was someone in the know about all their customer losses.
If there is a seller again then anyone buying in could be trapped for months as the large players sellout and thats being positive as the co. still has to show that it can ever make a profit- ie 4 million in losses on revenue of 2 million doesn't quite do it for the market.

From ZIP web-Site:

Date: 27th September 2002

Zipcom Drives the Broadband Revolution Proposing Multi Million Pound Acquisition to create one of the UK's largest business-focused telecoms companies.

Zipcom, the independent UK telecoms operator, has today announced its intention to acquire Transigent, the holding company for GX Networks (formerly the UK operation of XO). The deal, worth approximately £10 million, will establish Zipcom as a major player in the UK's business-to-business telecommunications market.

With over 60 POPs in the UK, Zipcom independently owns and operates one of the most extensive, secure and resilient national networks. The acquisition will increase the number of POPs to over 100 including new areas for Zipcom such as East Anglia, North East England and the South Coast.

Commenting on the announcement, Grahame Purvis, Chairman of Zipcom, said:

"This acquisition represents a further quantum leap for our business and demonstrates our commitment to delivering a comprehensive range of broadband services to the local loop across the length and breadth of the UK. The tremendous synergies between the two companies are expected to deliver excellent benefits to our existing and future customers through the expansion of our network as well as adding to our product portfolio."

GX Networks provides Internet security, consultancy, hosting and access and controls a 2.4 Gbps networks with 43 POPs around the country.

Mike Read, President and Managing Director of GX Networks, said:

"We are excited about this deal with Zipcom, particularly because of the added benefits it will bring to our customers. By giving them access to a wider range of services, including voice, it will allow them to meet all their communications needs through one well-established, independent provider."

Zipcom's service is backed by a comprehensive Service Level Agreement (SLA) guaranteeing 99.92% uptime. Zipcom also offers all its customers a dedicated account manager, providing a single point of contact for all enquiries.

A dynamic, leading-edge provider of competitive high performance voice, data, Internet and E-commerce connectivity solutions, Zipcom is committed to next generation technological advances.

...etc...

I've sold 50k of them today. I was under the impression that they were doing much better on the revenue front than they've done. A decrease in revenues with a major dilution doesn't do it for me. Theres more than enough lossmaking telco's around, I thought these may be different but this acquisition although it will raise revenues is bound to delay any profits due to merger expenses and goodwill etc.
All in all quite disappointed.

Interims (unaudited) out today. Hmmmmmmm.... But main news relates to a proposed acquisition that qualifies as a reverse takeover. Even bigger Hmmmmmmm...

Management state... "The Acquisition is expected to substantially increase the revenues of the company and, coupled with the proceeds of the Placings, strengthen the Company's balance sheet."

(a) Increase revenues - No information supplied about Transigent's historical earnings. In fact 'Transigent Limited' has the following companies house profile - CompanyNo:04361903 (Previous Name = Pathbeach Limited), Date of Incorporation : 28/01/2002, Next Accounts Due : 28/11/2003. In short, some digging below this level is required.

(b) Strengthen the balance sheet - How can they justify the issue of more paper in a placing at current share price levels? They claim to have good cash reserves already. So why do they need more? The implication is that the acquisition will be a net drain on existing resources. Should I conclude, it is yet another worthless loss making telecom?

Peter Dubens (Transigent Limited). Can I conclude this is the same person who is...

Co-founder of Avocet Capital Management Limited, a European technology hedge fund management business, Vice Chairman of ukbetting PLC (www.ukbetting.com), an Internet sports betting business, an Executive Director of Paradigm Media Investments PLC and an non-executive Director of Stirling Group PLC.

And the telecom business actually relates to???????

Much more information required

Anyone got the circular yet?

Yes, must auger well for future tenders. Quite happy to bide my time with these as much of the competiton continues to fall by the wayside. On another point take a look at IMD nothing to do with ZIP but a real potential future growth story that has so far been unoticed, no ramp intended.

hasting thanks for that. I must admit I think that Zip may turn out to be gem of an investment. I was really impressed that they beat BT, Easynet and Telewest for their latest contract. Esp as they won on professionalism and courtesy not price.

Angler and Vonbrokenburger, i spoke to the Company about six weeks ago and it would appear that current growth is continuing, latest roll out re-targeting of Business users is Cambridge where early indications are positive. Personally i think that what is important with ZIP is that the likes of Jupiter were keen to get on board in the fund raising last year at a time when most alternative operators were having the rug pulled from under their feet.

Vonbrokernburger: I'm in, and pre 2p days!! My hope is that the company focus, since December 2001, on marketing their product/service has been successful. If not, my fear that the cash burn associated with Highway One will place zip in a very weak position. Hence my concern that directors did not see fit to provide a trading up date at the AGM.

We'll have to agree to disagree there angler I'm afraid. I've found the updates on how the company's progressing particularly interesting, ie the expanding into Scotland, the launch of sdsl etc. I realise that unless it comes out via rns then the market doesn't get a chance to react and (hopefully) push the shareprice up in the shortterm but I'm a longterm holder of these (ie over a year) and so knowing that they are still moving forward is useful to me.
Are you in at all or just an interested observer?
Good luck whatever.

Vonbrokenburger: I agree, the zip website is pretty good, for marketing to potential customers and investors looking into the history of the company. However, nothing new placed on the site should be considered of financial value to an investor, unless and until it has been posted with the RNS.
