Update on Director's Holding in the Company

Zenith Energy Ltd., ("Zenith" or the "Company"),(LSE: ZEN; TSX.V: ZEE), the dual listed international oil & gas production company, announces, further to the announcement of November 23, 2017, that the 2,000,000 common shares of no par value, ("New Common Shares"), that were issued to Mr. Andrea Cattaneo, following the exercise of stock options under the Company's Stock Options Plan, (the "Plan"), are now expected to be admitted to the Standard Segment of the UK Official List and to trading on the Main Market of the London Stock Exchange on December 29, 2017 due to an administrative error. The New Common Shares are already listed on the TSX Venture Exchange.

Mr. Cattaneo is directly beneficially interested in a total of 3,670,116 common shares, representing 2.55 per cent of the Company's issued common share capital. As announced on December 15, 2017, Mr. Cattaneo is indirectly interested in a total of 1,250,000 Common Shares, representing 0.87 per cent of the Company's issued common share capital.

Following admission to trading of the New Common Shares on the London Stock Exchange Main Market, the Company will have 144,200,119 common shares in issue and admitted to trading on the Main Market of the London Stock Exchange and the Toronto Stock Exchange Venture Exchange. The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
