PDMR Notifications

Circumstances giving rise to the notifications

Today, 7 June 2017, the Company's remuneration committee (the "committee") determined the form in which bonuses would be provided to the executive directors in respect of the Company's financial period ended 3 April 2017.

It was previously agreed with each director that if any bonus were to be paid, half of it would be settled in shares, with the other half being paid in cash except to the extent that the director elected to receive all or part of it in shares instead. For every share taken in place of cash, the director would be allowed to subscribe at nominal value for one "matching" share. This was all subject to the right of the committee to determine, at its sole and absolute discretion, the form in which any bonus would be provided, whether by issue or transfer of shares and/or payment of cash.

As a result of the committee's determination and the elections made, the following bonuses have now been awarded and provided in the following form:

None of the directors are generally free to sell any of the shares before the end of a restricted period, which, ordinarily, will end three years after the shares have been allotted or, if earlier, the date on which his or her employment terminates by reason of illness, disability or redundancy.

The "matching" shares are subject to satisfaction of a further condition relating to the extent to which the group's adjusted earnings per ordinary share in respect of the group's continuing operations for the financial period ending on or around 31 March 2020 exceeds the same measure for the financial period ended 28 March 2016.

In certain circumstances, the shares acquired have to be transferred to the Company or to an employee benefit trust designated by the Company - this would be at a pre-agreed price or, in the case of "matching shares", for no consideration.

The number of shares allotted to each director in order to fulfil his / her entitlement was calculated with reference to the market price of the Company's A ordinary shares of 12.5p each as shown in today's Financial Times (on-line version), being 1332p.

A block admission arrangement is in place for the shares allotted.
