Well there was bank debt of 5.1 million at that point and since the they bought Blue River for 2 million. Clearly the cash within Anix is going with it, so I don't think it's a case of a big CAPEX

Hi all.

Can anyone take a stab about what a sale of Anix of £30/£40 million would be worth to the share price?

Interim results are due 26/6; would this be delayed by this offer? Hope not. I would like to see what Anix contributed to the company and then make a decision as to it's sale. Other sector specialists have said that selling now is the wrong time as it wouldn't realise its full value in these difficult times.?

Affiliated Computer Services has paid $60m in cash for British outsourcer and IBM specialist Syan Holdings.

The deal brings Shropshire-based Syan's operations, including two data centers, under the ACS umbrella. ACS said the deal would extend its ability to support global customers. Syan services include server hosting and management, applications and desktop management, and help desk.

Privately owned Syan turned over just under £42m in 2006, generating profits of £1.1m.

Syan has been around since 1985, initially starting off in the IBM mid-range market. It has 200 staff in the UK spread across five offices – a drop in the ocean compared to Dallas-based ACS' 62,000 staff across 100 countries.®

US IT services giant Affiliated Computer Services (ACS) is among the names being linked to IBM reseller Anix after parent company Xploite revealed yesterday that it is in talks to sell the business.

ACS snapped up another IBM reseller, Shropshire-based Syan, in January 2008 and several channel onlookers have heard Syan's name linked to a possible deal.

Xploite bought managed services specialist Anix in 2007 as part of its mission to build a £100m storage reseller. The unit has since been integrated with two of Xploite's other acquisitions and generated the bulk of the firm's £46.3m revenues last year.

Xploite's market capitalisation has more than doubled to £24m this year and insiders claim a deal for Anix could be worth between £20m and £30m. It is believed that Xploite chief executive, serial entrepreneur Ian Smith, is keen to focus on Xploite's small storage software business, Storage Fusion.

Tom Kelly, managing director of integrator Logicalis, said: "I cannot see why Xploite would sell Anix now as I cannot see it getting a significant return in the current climate."

An ACS representative said it "does not comment on rumour or speculation", while Xploite failed to return CRN's calls.

There are probably a few very large companies that would see the purchase of Anix as of strategic importance. The management have done a great job of consolidating a sub sector that now has a business worth much more than the individual acquisitions it has done over the years. I am hoping this announcement may flush out a competing bid:) A simple peer comparison highlights the potential value of Anix and indicates we could be in for an interesting time.

I wonder what the future will bring in terms of share price Know one thing? I don't want another special dividend- my position has only just recovered from this and i think it was a big mistake by XPT from which the share price has never(and may never recover)

Not sure why the market did not show a significant gain on the offer announcement. I would expect any offer to be significantly higher than the current market capitalization. The offer is similar to a full on take over of the company as Anix is currently the main operating unit within the group and delivered all of the profit last year. Looking forward to further news in "due course".......

Adjusted EBITDA from continuing operations last year was GBP3.7m. I would therefore give the business an EBITDA multiple of 12 (sector average) and come to the valuation of £45 million. Anix has been growing rapidly and should produce better profits in the coming year, so any sale multiple could be forward looking. I think this announcement is very positive! Interested to hear other views of possible valuation of Anix?

Excellent news. Just puzzled as to why this update has had to be released. The recent share price action doesn't suggest wild market speculation?

Could be a very interesting next few weeks ;o)

Well, lets think, sale of Anix would IMHO be worth more than current market cap- maybe £30-35million, then we are left with the exciting growth prospects of Storage Fusio.I'll target a round 100p near term. :-)
