XCounter aims to develop a PCT detector which the Directors believe is key to the provision of low
radiation dose and high image quality scanning. The Company aims to develop a sustainable and simple but
robust detector, which delivers high sensitivity and energy resolution, fulfilling the requirements for many
X-ray imaging applications, as well as delivering a high frame rate that would allow for fast image
recognition.
Medical applications
As announced on 2 July 2009, the Company is working with Artemis, a spinoff of
the University of Erlangen's Institute of Medical Physics, under the leadership of Prof. Willi Kalender, to
collaborate on the research and development of the PCT platform in the Mammo CT area for low dose
3D X-ray CT-imaging for breast cancer detection. The Directors believe that the new device which is
intended to result from this collaboration may have the potential to offer more comprehensive and higher
quality breast scanning facilitating earlier detection of breast cancer, the most common form of cancer found
in women.
Artemis and its founder, Prof. Kalender, have substantial expertise and a proven track record in CT physics,
system and applications development. It intends to develop, validate, clinically test and commercialize a
low-dose, high-resolution breast CT scanner using the XCounter photon counting digital direct conversion
solid state detector technology.
Co-development of the breast CT scanner provides a cost effective way for XCounter to progress the
development of the detector technology as, under the current proposals, Artemis intends to provide €1.75m
over a period of two years during the R&D phase of the project. Artemis would fund XCounter's detector
development in return for exclusivity for the PCT technology in the Mammo CT application.
Artemis has applied for a €2.8m grant from the German government (Bundesministerium für Bildung und
Forschung) to fund half of the project. It is currently anticipated that the German government will announce
the results of the grant application on or around 26 January 2010.
If Artemis' application for the grant is successful, the Company anticipates negotiating and signing a co-
development agreement with Artemis in the first quarter of 2010 which will include provisions granting
Artemis exclusivity for the PCT technology for the Mammo CT application. Following the developmental
phase, Artemis proposes to licence the product to a major OEM and it is XCounter's current intention at that
time to enter into a supply agreement with Artemis, so as to exclusively manufacture and supply the detector
components to be integrated into the completed Mammo CT device.
The Directors believe that the total initial market for the complete Mammo
CT systems to be €150m per annum.

The heart is a very dynamic organ, and many of the heart diseases are best visualized dynamically and our product platform XC Cardio -4T seeks to introduce a totally new dimension by imaging 3D movies of the beating heart. We believe XC Cardio -4T is a solution to a medical need, which none of the leading X-ray companies to date has been able to satisfactorily address. TWI is one of Europe's largest independent research and technology organisations. Based at Abington near Cambridge since 1946, TWI provides those in industry with technical support in welding, NDT and associated technologies. TWI has over 430 skilled staff and a turnover of 40 million Euros.
Currently TWI is participating in approximately 35 European projects including several Framework V, CSG and CRAFT projects. The work will be carried out by TWI's Structural Integrity Department, which includes a world-leading centre of excellence in NDT called the NDT Technology Section. The NDT Technology Section is a recognised expert in the reliability of radiography and has won several awards in this area. TWI is the UK's leading X-ray inspection facility for research in the development of X-ray inspection methods for castings, with available facilities suitable for an extremely wide range of specimens, from 0.1mm to over 400mm in thickness.

TWI also has over 300 test specimens representing automotive and aerospace castings containing a variety of real defects. TWI will make available these samples for the project. Key TWI personnel involved in the project will be Dr. A. Khalid, BSc, MSc, Ph.D., MBA with over 25 refereed publications in the field of NDT inspection and Dr. Bruce Blakely, PhD will co-ordinate the project. Dr. Blakely is an expert in the field of digital radiography, pattern recognition software and is an experienced project manager of European funded projects.

Reasons for participating
TWI are committed to working with SMEs, other Research organisations and industrial partners on European funded projects in the areas of development of Non Destructive Testing techniques and the Joining of Materials.

The Swedish company XCounter AB has acquired the Finnish company Oy AJAT Ltd, known for its cutting-edge radiation imaging devices.

The Swedish company XCounter AB has acquired almost half of the shares in the Finnish technology company Oy AJAT Ltd. The shares were sold by the management of AJAT, Finnish Industry Investment Ltd and Thomcapital Oy. XCounter AB is listed on the Alternative Investment Market (AIM) of the London Stock Exchange.

AJAT develops and manufactures cutting-edge radiation imaging devices mainly for dental and industrial applications. Ajat's technology has been particularly successful in dental X-ray applications. The imaging devices produced by Ajat are significantly more accurate and faster than others on the market. They can be used, among other things, for real-time checking of goods moving on a conveyor belt.

According to AJAT's press release, XCounter AB is a technology leader in photon counting and tomosynthesis-based 3D medical imaging and the two companies will synergize to integrate AJATs sensors in the XCounter technology, which opens new markets for CdTe/CdZnTe-CMOS sensors. According to AJAT's CEO Konstantinos Spatiotis, the company remains an independent advanced sensor manufacturer with an emphasis on dental and industrial applications, and is also aiming to expand into the medical sector.

According to Heli Kukko, investment manager at Finnish Industry Investment Ltd, AJAT is an excellent example of growth where a technology developed in Finland has been commercialised globally. AJAT has customers in Europe, Asia and the United States. Based in Espoo, AJAT was established in 2002 and currently has 18 employees. The company's turnover in the last accounting period was more than EUR 3 million and it also turned in a profit.

AJAT profit making The AJAT acquisition has exceeded the Board's expectations regarding profit and is in line with expectations for revenues in the first six months since completion. Exciting new orders, especially within industrial applications, strengthens the Group's business pipeline in both the short and medium term.


In the 12 months ended 31 August 2009, AJAT reported operating profit of €414,000 (unaudited) and total revenues of approximately €3.5m (unaudited). These revenues came largely from dental and industrial applications. AJAT's detectors are integrated by OEMs in different system applications, spanning from dental panoramic cephalometry, and 2D and future 3D medical imaging. In addition, since its launch in August 2008, AJAT's dental 2D end-user system "Art Plus" has sold 86 units.


AJAT is a profitable business with high growth opportunities within its core dental applications but also within the field of industrial applications such as inspection systems for food production, inspections of welds for the oil and gas piping industry and small animal imaging for the pharmaceutical industry. The Directors believe that AJAT will generate revenues of €4 million and EBITDA of approximately €550,000 (14 per cent. of sales) during the 12 months ending 31 December 2009, a 13 per cent. increase on revenues for the 12 months ended 31 December 2008.

Abstract The project aims to develop a set of mechanised Non-Destructive
Evaluation (NDE) techniques, sensors and systems that determine the Quality
Assurance and Structural Integrity of 'production' and 'in-service' glass fibre
reinforced plastic/epoxy (GRP/E) pipes and pipe joints.
1. Introduction
Over 10 million kilometres of pipelines in European transport hazardous fluids, of which
over half are carrying hydrocarbons (i.e. oil, oil derivatives and gas). Only a very small
number of these pipelines are made from corrosion resistant GRP/E materials, with the vast
majority of pipelines being fabricated from steel pipes joined together by butt welds.
For use in ambient temperatures and relatively low-pressure applications, GRP/E would
offer an attractive alternative to steel, were it not the fact that the integrity of the
interconnecting pipe joints cannot be inspected with a high level of confidence. The
inadequacy of conventional NDT techniques seriously limits the current applications of
GRP pipelines and, furthermore, in some cases, the joint needs to be 'over wrapped' to
provide a secondary containment. If suitable NDT methods can be developed, GRP/E pipe
would be used in additional applications pipeline that cannot be currently considered as
viable.
The consortium SME partners propose to develop new and novel Non Destructive
Evaluation (NDE) techniques, sensors and systems that are capable of assessing the quality
assurance and structural integrity of 'production' and 'in-service' GRP/E pipes and pipe
joints. Hence this key enabling technology will facilitate the use of GRP/E materials
without the need for cost prohibitive over engineering processes, such as secondary
containment 'over-wrap'. It is hoped that the NDT methods developed under this proposal
will also extend the use of GRP/E pipes into other applications that have traditionally been
the domain of corrosion prone metallics.

Technical objectives
• To significantly develop and improve NDT techniques, in a step change to their current
capability, in order that GRP Pipe and joint defects such as 'Kissing Bonds' (KB) are
detected early in the production process. This will expedite feedback to the fabrication
process and reduce the level of rework.
• To conduct inspections faster, and hence reduce maintenance downtime by automating
NDT techniques.
• To deliver NDT techniques, validated in their individual areas of intended use.
• To increase accuracy, by eliminating operator subjectivity and increase safety and
reduce instances of failure.
2. Project objective(s)
The principal objectives of the project are as follows.
1. To produce and validate four new, novel and unique non-destructive evaluation (NDE)
techniques that are specifically targeted at the inspection of GRP pipes, as used in the
Oil and Gas industry after installation and throughout their in-service life. The
techniques are:
• In plane shearography inspection techniques
• Pulsed thermography inspection techniques
• Dry coupled phased array ultrasonic test techniques
• Low energy digital radiography inspection techniques
Current techniques are well developed for the inspection of metal pipes. The new NDE
techniques will be developed to a similar level of performance on GRP pipe as on metal

AJAT - Finland

SMEP profile: AJAT is a specialised NDT engineering company with 12 full-time employees that designs, develops and manufactures in house, X-ray digital imaging cameras. AJAT's technology is cutting edge and is based on CdTe or CdZnTe bump-bonded to an ASIC. AJAT founded on 2001, this young company already has strong national and international connections and is located at Espoo, Finland. In Fiscal 2003 ending 8-2003 AJAT had revenues of approx. 400kEuro selling its innovative cameras. The research at AJAT is mainly centred on quality control and monitoring often for bespoke applications. NDT is performed primarily by use of X-ray imaging and X-ray energy dispersive measurements. Service inspection is performed, based on samples submitted for structural integrity assessment according to the customer's specific demands. These services are directed towards NDT quality control checks, spot tests for structural integrity / quality assessment, evaluation of internal geometry and for selection of samples and sample volumes for destructive (e.g. mechanical) tests.

Role in project and reason for participation: WP-B Manager: (PSC): Dr. Konstantinos Spartiotis, who holds a PhD in Physics, is the CEO and chairman of the company and will be a key member of the PSC. AJAT will develop and implement the next generation of direct conversion Dynamic Imaging X-ray camera, including a scanning solution. AJAT are in a unique position to achieve this by virtue of their experience and expertise in this field. The reason for participation is that AJAT wish to maintain the lead position they have built for themselves at a cost level they cannot maintain internally. The dissemination of their technology, particularly in such a large industrial sector is seen as a huge opportunity. The primary commercial interest lies in the market opportunities for fast highly accurate digital inspection technology. The current situation is that systems have to be demonstrated before they are adopted, and R&D efforts and hence costs are too high to enable SMEs to take a role in this regard. XCounter, set up by an ex-NASA scientist, is a Swedish based company that has developed a fundamentally novel technology for capturing 3D digital x-ray images. The placing raised £16 million for the Company giving it a market capitalisation of £55.6 million on admission. XCounter is currently the only Swedish registered company to be admitted to trading on AIM.

Bird & Bird was the lead legal advisor on this deal with lawyers in the firm's UK office involved in all aspects of the deal. London partner Matt Dennis led the work with Mark Cummings as lead assistant. The deal is part of a growing area of work for Bird & Bird in advising non-UK companies wishing to be admitted to AIM. The firm recently acted on AIM admissions for the first Dutch company (Bateman Engineering) and the first Italian company (Teleunit S.A) to launch on AIM.

Extraordinary General
Meeting to be convened for 10:00 a.m. (CET) on 14 January 2010. Further details
of the Placing are set out in section 5 below.
The Board of XCounter continues to follow its strategy to establish the Company
as a leading OEM provider of cutting edge X-ray detectors for medical, dental
and industrial applications based on proprietary photon counting detectors for
3D technology, tomosynthesis and dual energy tomosynthesis.


The AJAT acquisition has exceeded the Board's expectations regarding profit and
is in line with expectations for revenues in the first six months since
completion. Exciting new orders, especially within industrial applications,
strengthens the Group's business pipeline in both the short and medium term.


In the 12 months ended 31 August 2009, AJAT reported operating profit of
EUR414,000 (unaudited) and total revenues of approximately EUR3.5m (unaudited).
These revenues came largely from dental and industrial applications. AJAT's
detectors are integrated by OEMs in different system applications, spanning from
dental panoramic cephalometry, and 2D and future 3D medical imaging. In
addition, since its launch in August 2008, AJAT's dental 2D end-user system "Art
Plus" has sold 86 units.


AJAT is a profitable business with high growth opportunities within its core
dental applications but also within the field of industrial applications such as
inspection systems for food production, inspections of welds for the oil and gas
piping industry and small animal imaging for the pharmaceutical industry. The
Directors believe that AJAT will generate revenues of EUR4 million and EBITDA of
approximately EUR550,000 (14 per cent. of sales) during the 12 months ending 31
December 2009, a 13 per cent. increase on revenues for the 12 months ended 31
December 2008.
