Total Voting Rights

In conformity with the FCA's Disclosure Guidance and Transparency Rules, and further to the oversubscribed placing of 22,727,273 ordinary shares (the "Placing") announced on 15 November 2017, Wey Education confirms the following:

In accordance with the provisions of the Disclosure Guidance and Transparency Rules of the Financial Conduct Authority, following admission of the new ordinary shares pursuant to the Placing, its issued share capital will comprise 126,695,764 ordinary shares of 1 pence each. All of these ordinary shares have equal voting rights and none of the ordinary shares are held in Treasury. The total number of voting rights in the Company will therefore be 126,695,764 on admission, which is expected to take place on 20 November 2017.

The above figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
