jungle jim - i was trying to work that out too. maybe we should be buying AAAM? if WAD wants to get to 50m market cap, then wouldn't hurt to have fingers in both pies? but AAAM share price is much bigger than WAD so might be better to load up on WAD on their way up to their idealized mcap? dunno.

I've got both African Aura and WAD and am totally confused. Can anyone explain to me if this news is good, good, or good, bad, or bad bad from the two companies point of view? I can't work out if I'm winning on both sides or not.

one of the only times i've ever been pleased to have shares suspended! the RNS reads well. still, fat but not morbidly obese lady not sungeth yet - but i believe it's just the shareholders that have to approve it? i don't see why they wouldn't approve of it, so sit tight!! oh, we have no choice but to :/

Sounds like a good suspension though, instead of the mm's messing around
with the price you can sit in comfort knowing the price will do well when
it returns imho.

Merger between West African Diamonds and Stellar Diamonds Limited




Following press speculation the Directors of West African Diamonds (WAD) the AIM
listed diamond producer wish to announce that Heads of Terms have been signed to
acquire Stellar Diamonds Limited, a privately held West African diamond
producer, whose principal shareholder is African Aura plc (the "Acquisition").


The Acquisition, if concluded, constitutes a reverse transaction under the AIM
Rules and is therefore conditional, inter alia, on the approval of WAD
shareholders. WAD has requested and been granted a suspension of trading in its
ordinary shares with immediate effect pending publication of an AIM Admission
Document to shareholders containing details of the Acquisition. It is the
intention of both boards to relist the combined venture on AIM.


Further announcements regarding the Acquisition will be made in due course and a
circular sent to WAD shareholders containing details of the Acquisition and
related matters as well as convening a general meeting of the Company to approve
the Acquisition and associated matters as soon as possible.

bobbie, wad directors have alot of stock bought and paid for in cash. You can always check on warrants/ options in the anual report, but you will probably find not so many that are in profit.

Yes, but how many new share will be issued to the other company in this reverse take over? I don't think we'll see a five-fold increase in the share price, just a five-fold increase in the number of shares.
Also, how much do teh management hold in teh current co.? they'll hold 25% in the new one.
I have a horrible feeling they'll also be lots of highly dicounted optionsa nd warrants attatched, whilst we get shafted!
