Hmmm...the spread is now a very attractive 5p, with the bid still solid at 535p. Are the MMs trying to attract buyers to push out the last tranche of stock they hold?

Good to see the spread now only 15p at 535p-550p with the bid price unchanged at that 535p.

The offer is moving downwards.

...and another net £20,000 of buys since I last posted, £10,000 of which are today.

The price will surely have to move up nicely soon if this buying continues.

Another £5k of buys today, enough to cause a tick up with the spread closing via the bid price moving up to 535p.

Good to see a 1k buy just now cause another jump.

It seems no-one has the text of the MF tip.

Great to return from hols to find VLE at new highs.

Hopefully the terrific volumes last week following the tip have cleared out Messrs M&Z completely.

Has anyone got the full text of the Motley Fool Micro Cap Report - enough time should have passed by now for it to be OK? It would also be interesting to know what other comapnies were tipped.

Thanks Asagi.
That is the sort of logic I was hoping for confirmation on.

As regards the cash part, the limitation I would expect HMRC to have in mind is whether the cash is out of proportion to the financing needs of the existing operations.
However, another consideration is potential deployment of the cash in a further acquisition and whether it would then have continuing qualification as reinvestment of business sale proceeds in a follow-on business.

Hi boadicea,

I believe VLE has a controlling interest in its holdings which are unquoted elsewhere. Am I therefore to assume that it qualifies for IHT business relief?

That's good enough for me. It owns businesses that sell good or services. Like any other Group plc.

Does the existence of a large cash postion affect the situation?

Apparently so, yes. Remember, Volvere needs to be able to present a considerable cash balance to maintain credibility with business vendors but that cash is not deployed in the actual running of the businesses. HMRC does not like that for IHT.

I expect that any relief may be limited to the non-cash assets disposed of in the share trade (i.e. if the shares were sold at 700p with 300p of cash on the last balance sheet, IHT would fall on the 300p). Now that is how an adviser might say you should claim your IHT relief. I'm not aware of anyone ever getting done for claiming 100% relief on a share and getting knocked back.

Having topped up (happily) on the recent dip I started to look at the question of whether VLE qualifies for AIM/IHT business relief.
The legalistic sites are very cagey and generally just point one towards specialist and expensive investment advisors. Some of the more 'helpful' sites can be contradictory, e.g. one says mining and exploration companies don't qualify and another quotes an oil driller/explorer as a good qualifier.
Investment and property companies are also apparently excluded as are companies with a recognised second listing. However businesses that hold a controlling interest (>50%) in an otherwise qualifying company (or companies?) can qualify.

I believe VLE has a controlling interest in its holdings which are unquoted elsewhere. Am I therefore to assume that it qualifies for IHT business relief?

Easy for the MM's when VLE is so illiquid. I sold a few and bought them back 3% cheaper today. First time I've done that in 17 years :)

Suspect a little more of Marks/Zimmerman stock to clear but one can only guess.

Their combined holdings were:

360k b4 Sep 2015
315k Sep 2015
214k Feb 2016

So I guess it's possible that they're almost out if they've managed to drip them out at a similar rate. A happy retirement to them both I say!

A great lesson in how long it can take to clear a big line of stock in a microcap. Now, about my worryingly large holding :)

There are up to 8k shares available online at prices up to 540p, so still a little way to go yet.

If the Landers are reading this, perhaps now would be a good time for another share buyback....they shouldn't yet be in a closed period given results are usually out at the end of May.

Each trade has been higher than preceding, so maybe the tap has been turned off (temporarily ? ).
