In the Interim Results (20.09.04) VTB showed a Loss of £1.13 Million

If VTB had not gone ahead with the World Tv merger, would VTB have made a small profit in the 6 month period from January - June 2004 ?

£1M was paid to WTV and a further £1.09M was incurred in merger expenses.

Without that £2.09M being paid out in connection with the merger with WTV is it the case that VTB would have made a small profit of around £960,000 ? In that 6 Month period.?

It looks like the value of WTV was deliberately bloated so all involved would get higher fees etc. - as only a small percentage was actually in cash they could've put any old value on it.
This is what happened in the dotcom/tech boom and led to it's demise - some of the valuations were pure fantasy, but the fees were not.

The answer you would get from VTB is that the reverse takeover was an acquistion.

Thanks euro, but that does imply that the £3m raised at the placing was never intended to be used for acquisitions as stated, but to raise money to finance the takeover by WTV at the VTB shareholders expense

spinor my guess would be that it had been planned for some time.. the Tornado reverse was about 3 months in the making and from memory the fees were about 30% of the WTV deal, if that is anything to go by.

There were some share transactions I think in WTV (the private company) which coincided quite closely with the EGM for the placing. Connected or not I have no clue at all.

Euro do you think / know if the take over by WTV was a last minute decision or if it had been in the pipeline for some time. The reason being if it was over a period of time the presumably they, WTV, agreed to the take over of the previous acquisitions and the raising of the £3m which was not then spent as originally stated. If the WTV take over was a last minute thing then it does strike of desperation as Lady Liz has suggested and then maybe they will sell off / dispose of some of those recent purchases of the loss making businesses.

ct.. i hadn't really been back to the insider dealing thing. It's a very interesting idea that insider dealing would be legal offshore.

What makes you think that this is the case? Insider dealing is covered by the Criminal Justice Act in the UK. There is no exception in there for offshore acts. The deal takes place in the UK, even if the person ordering it is overseas. Have you got any more information on this?

There is, to my knowledge, only one specific exception (defence) to insider dealing.

That is the exception for market makers.

In the case of Orb isis, a case is pending I understand as an Order of Justic has been filed claiming £25 million. According to the Telegraph, Orb director Gerald Smith..the owner of a large property that is next to the luxury property of Goverment House in Jersey- is working in the US for one of Orb`s subsidiaries, website www.figleaves.com

Like yourself, I am not suggesting any sort of connection or wrong doing by VTB or any member of the concert party but I do understand that insider dealing is not illegal if carried out by a Jersey resident as it is offshore, unless the insider dealing is within a local company. I did point this out before and nobody seemed to come up with any other evidence to suggest I was wrong, and in view that euro99 suggested the directors read the thread from time to time, I was surprised not to hear some comment on the subject.

exotic...that sums up a lot of Jersey interests....a big gamble.

Brewins are the creative ones...did they not suggest a share price of 6.38p by Xmas. Now I considerfull value at 4p. Lets see what Brewins come up with next time for the wedge they have been paid.

The Jersey conection on many companies has just left bad taste in the mouths of many investors because of the likes of Izodia/Orb and it will no favours for WTV.

Look what it has done for MLB in the past, just swallowed investors money.

....... and by the looks of it they'll need them with their growth strategy. Creative accounting will be a demanding job with this outfit maybe that is why we have the Jersey connection.

Sure quiet around here nowadays.I suppose there is nothing to panic about now so if we get a new crowd of buyers in over the next few weeks sentiment should change.We are in a real transition period I feel.

Evenin' all!
Been out all day and just caught up with the ranting & raving here. A couple of thoughts to perhaps quell some of the dissent:

1. IMHO the nominal value was increased to 2.5p for the merger with WTV to minimise the amount credited to the share premium account (which is a non-distributable reserve). When the consideration shares were issued at agreed fair value of 2.88p (off the top of my head), 2.5p/share credited to share capital and 0.38p/share credited to share premium. (If the change had not been done then 2.78p/share would have gone into the share premium account and remained stuck there, not available for divis etc). The current reorg simply reverts to the pre-merger situation.

2. I think megSta is responsible for the spooky re-appearances of GG, which I recall always immediately follow a megSta post (I commented on this after the first post-interims apparition!). I guess he just adds the dummy post at the end of his post...........see below.
