On 24 May 2017, UBM plc ("UBM" or the "Company") was notified of the following 
transaction in its ordinary shares of 11.25p each ("Shares") by Directors of 
UBM. 
 
On 24 May 2017, in accordance with the Company's Performance Share Plan, the 
Directors listed in the table below were awarded an interest in further Shares 
following the grant of an award of Nil Cost Options over the Company's Shares. 
 
The number of Shares awarded was calculated by reference to a price of GBP7.069, 
being the average of the Company's middle market closing price for a Share for 
the five consecutive dealing days commencing on 17 May 2017. 
 
The Directors will become entitled to receive the Shares after a period of 
three years, subject to continued employment with UBM and to the achievement of 
a number of performance conditions relating to growth in Earnings per Share; 
Return on Average Capital Employed; relative Total Shareholder Return; and 
Total Group Revenue. The number of Shares shown below represents the maximum 
that may be acquired if all performance conditions are achieved in full.
