TRL Electronics plc ("TRL" or "the Company")
Statement regarding share price movement
The board of the Company notes the recent share price movement and announces that it has received a preliminary approach from a third party that may or may not lead to an offer being made for the Company. There can be no certainty that
an offer will be made. A further announcement will be made as appropriate.
Dealing Disclosure Requirements
Under the provisions of Rule 8.3 of the City Code on Takeovers and Mergers (the "Code"), if any person is, or becomes, "interested" (directly or indirectly) in 1% or more of any class of "relevant securities" of TRL, all "dealings" in any "relevant securities" of that company (including by means of an option in respect of, or a derivative referenced to, any such "relevant securities") must be publicly disclosed by no later than 3.30 pm (London time) on the London business day following the date of the relevant transaction. This requirement will continue until the date on which the offer becomes, or is declared, unconditional as to acceptances, lapses or is otherwise withdrawn or on which the "offer period" otherwise ends. If two or more persons act together pursuant to an agreement or understanding, whether formal or informal, to acquire an "interest" in "relevant securities" of TRL, they will be deemed to be a single person for the purpose of Rule 8.3.
Under the provisions of Rule 8.1 of the Code, all "dealings" in "relevant securities" of TRL by TRL, or by any of its "associates", must be disclosed by no later than 12.00 noon (London time) on the London business day following the date of the relevant transaction.
A disclosure table, giving details of the companies in whose "relevant securities" "dealings" should be disclosed, and the number of such securities in issue, can be found on the Takeover Panel's website at www.thetakeoverpanel.org.uk.
"Interests in securities" arise, in summary, when a person has long economic exposure, whether conditional or absolute, to changes in the price of securities. In particular, a person will be treated as having an "interest" by virtue of the ownership or control of securities, or by virtue of any option in respect of, or derivative referenced to, securities.
Terms in quotation marks are defined in the Code, which can also be found on the Panel's website. If you are in any doubt as to whether or not you are required to disclose a "dealing" under Rule 8, you should consult the Panel.

|The continued increase surprising but welcome...may be as basic as that people are attracted to a seemingly well managed company with sold finances in a growing market and are buying enough to bring the price higher despite the modest reduction of Hambro.|

a takeover is as good an explanation as any other...with 4 individuals who were I think the founders having 25% of the shares and the directors another 12% and the company progressing quite nicely I have never seen them as a takeover candidate....although they must be quite stretched as a relatively small company operating on a global scale in 3 or 4 product areas and can they achive critical mass in any of them and as such could well be better off with a shareholder who has the marketing infrastructure for the as we know very tedious job of selling to defence and security ministries around the world.Their increased spend in r and d and marketing illustrates the issue as does the fact that as they say they need to preserve cash and so are understandably reluctant to pay a dividend.
Half of me remembering the doldrums the price was in during the autumn wants to sell and take profits and move one, the othersays this latest increase means that the price has caught up with reality nd that it is a good medium term play.|

|good to see two purchases of 100,000+...I am somewhat disappointed at the lack of news on the following taken from their interim statements:
During the period the Division has invested company funds
into a new Internet Protocol (IP) version of the product and anticipates having
approval from the UK Government for this product by the end of November
and we have heard nothing from them despuite being told by the PR firm that such an approval would trigger a RNS|
I would say that we are just about there..perhaps the mid price going up to 260..although they have been quite cute becuase by talking about having the UK govt signing off on their IP protocol about now should trigger another RNS which might keep the momentum going.
I have been impressed by the amount of activity over the last 7/10 days and it has a good solid feel about it and that it has caught on in the City...remember that 60% held by the directors and institutions having more than 3%
I have only this evening got round to really looking at the figures and I am happier than when I just skimmed them...good to see that despite the R&D, capex expenditures they still generate cash....and indeed that they can talk about paying dividends rather than having to raise new equity...in some ways i would be rather disappointed if they paid a dividend as it would suggest that they had run out of new businesses.
I was really happy about increase in operating margin given the recent marketing hires..although we need to recognize that this will always be a lumpy business.|
