Issue of Equity and Total Voting Rights

The Directors of Triple Point VCT 2011 plc (the "Company") are pleased to announce the first allotment of 5,768,291 B Ordinary Shares of 1p each on 4 April 2016 pursuant to the offer for subscription set out in a prospectus issued by the Company on 23 December 2015. The following shares were allotted to be admitted to the Official List:

2,464,843 shares of 1p each at a price of 101.523p per share

101,197 shares of 1p each at a price of 101.781p per share

1,160,825 shares of 1p each at a price of 102.041p per share

1,699,069 shares of 1p each at a price of 102.564p per share

5,789 shares of 1p each at a price of 103.627p per share

167,125 shares of 1p each at a price of 104.712p per share

28,025 shares of 1p each at a price of 105.263p per share

141,418 shares of 1p each at a price of 105.820p per share

Admission is expected to become effective on or around 18 April 2016.

As a consequence of this allotment the issued share capital and total voting rights of the Company is now 36,069,293:

Included in the issue of equity that took place was an allotment to Directors of the Company as follows:
