You obviously don't understand how reverse takeovers work.

TLA doesn't buy the new company with cash.

So Dave why do you think the mms are constantly raising the share price here? It is not just a few dampers on a message board or Twitter that's for sure.Persinally would not be surprised to see this heading for 3.4/4p Tosmday for a change is a good day for me as IDE and TLA progress northwards

QMS Sport will pay an enterprise value of AUD28.2 million, about GBP15.8 million, for TLA Worldwide's Australian business, comprising of AUD21.5 million in cash and the reminder reflecting the assumption of certain outstanding earn-out liabilities.

This has massive backer in at prices above 20p. This will fly. 5p is definitely on the cards.

There won"t be any 'debt overhang'

'The bank has also agreed to waive any outstanding balance of its facilities on receipt of the net cash'

Also:

'"Looking ahead, should the sale of the Australian business proceed, then the Group will become an 'AIM Rule 15 cash shell'. After the full discharge of the bank debt held at subsidiary level, there is expected to be a modest cash balance in TLA. The Group's strategy is to acquire a business that is seeking an AIM quoted platform via a Reverse Takeover. The Directors are considering opportunities in a number of sectors but will focus on an acquisition that can create significant value for shareholders in the form of capital growth and/or dividends."'

It might be that TLA are playing hard ball as liquidity is not there and they might want a full cash alternative. Recent volume is an arb shutting down his short. Either way I dont think there is much downside from here, I bought the stock at 40 last week.
