They will be busy devising ways of running the share price into the ground (oops - it's almost there already) and extracting any other sources of value from it before making an irresistible offer at a fraction of 1p and about 20% above the value it had as a result of getting their friends to short it.

...But isn't that illegal?

May I make it clear that I am a DCD shareholder .

I would have thought this worth an RNS from Timeweave .

Now - where else am I puzzled ?

Well , it would certainly appear that Timeweave will be delisted .

And I assume DCD as well . Shame on both counts .

But hold on a minute .



Timeweave could have taken over DCD , (which presumeably would have
resulted in DCD being delisted ).

They didn't want to .
Must be a reason .

They have as good as said they will delist it if they can - that is if they get it through the 75% vote. This is all part of the coercion of holders into accepting as there are serious disadvantages to holding unquoted stock.
It's not an absolute foregone conclusion unless they get 75% acceptance but is still most probable even if they get only ~60% due to the impediments to voting nominee holdings.

However, companies do not always take the delisting route if there are potential advantages to them in remaining listed. Rank (RNK) is an example of this, where the majority holders, Guoco (Malaysian company I think), decided to keep the listing. I don't recall any explicit reasons given for this but the possible advantages could be the enabling or simplifying of a variety of future corporate actions - fund raising in London, issue of shares in a takeover, floating it off etc.
After initial uncertainty RNK shares have actually performed quite well. However, I see little chance of a similar happy ending in this case.

I assume from this (but check for yourself) that we can sell in the market for very near to 22p at least until a day or two before the above date, and also sell at any time until it is delisted some time later, after a vote is passed by 75% majority in GM. However I won't attempt to predict the price after 16th Oct.

Count Chris - Not necessarily, so be careful.
My understanding is that if Mayfair/JL cannot, or decide not to, compulsorily purchase the rump, but nevertheless delist the shares as they intend, there is also the possibility you could be left with a virtually untradeable piece of paper.

Aye £50m of which most is CASH.

The Turf TV contract is worth nearly double the £50m on its own at say 14/15x earnings,then there's the £33M in cash +spotingwins---DCD Media.

If I was Fred I'd Gazump this guy.Come on Fred/JoeScan,you know how much the Turf Tv contracts are actually worth don't you.Gazump Joe AND SPOIL Craven's party.

Is it too late for a counter-bid to appear, even at this late hour?
I don't know the specific terms of the 'committed' acceptors - usual is release from commitment if 10% extra is offered.

With a market cap of only ca. £50m, it's a cash machine at a knock-down price and at £50m these days, almost anyone can play. I'm sure Fred Done (BetFred) would enjoy watching May-fair may-hem.

They will take out DCD as well for 4 Mill at 2p, Capital along with Hendersons will have 73% of DCD shares.

So,for around £50M they have robbed shareholders of

£33M in cash(Retail was given away also as was worth at least twice what alm sold it for)

So for £17M they have robbed shareholders of:-

Turf TV(Producing Pre Tax of around £6/£7M in profits pa)???????????

So stripping out the cash,they have bought £6/£7M of earnings + DCD media and sporting Wins for £17M---Pure legalised Theft imo.

Joe has been aided in this legalised theft by the company not being promoted in any way by the BOD.Well done Craven et al.where was the company promotion to the city??.As soon as this guy arrived I marked your card.

They even fell back onto Aim so it could take place.

Non promotion of the company has allowed the share price to languish and the pure legalised theft to take place.
Scandalous imo.

With Timeweaves cash and 50% shares in DCD, i would say the bid is around 18 Mill. Small share holders will have no say in this.
