I wonder whether MC/Casten will stick with the previously agreed deal of 20p per share for new shares in Thistle to clear the debt now that they have the Masbate shares or will they now go after the Pamodzi shares by debt default too?!

Extract from Q3 Results:

'
The annual and special meeting of the shareholders to be held on December 13,
2007 (the 'Meeting'), will, amongst other matters, consider the proposed sale of
PSGM. The Sale Transaction will require approval by two thirds of the votes cast
by Thistle shareholders at the Meeting. Pamodzi has received assurances from MC
Resources Limited and Casten Holdings Limited, each owning 35% of the
outstanding shares of Thistle, of their intention to vote for the Sale
Transaction. Pamodzi's shareholder meeting to approve the Sale Transaction is
expected to be held on or about December 27, 2007 in Johannesburg, South Africa.
The Sale Transaction will require approval by a majority of the votes cast by
Pamodzi shareholders at the meeting. Thistle has received assurances from
Pamodzi Resources, through two of its subsidiaries (which collectively own 37.9%
of the outstanding Pamodzi Shares), of its intention to vote for the Sale
Transaction. Assuming the shareholders of Pamodzi and Thistle approve the Sale
Transaction and all other conditions to the completion are satisfied or waived,
Thistle expects that the earliest the Sale Transaction will be completed is
December 27, 2007 ('Completion Date').

but as controlling shareholders, mc/casten call the shots and must have been
complicit if not instrumental in the delay thereby ensuring their own take from
the deal and thistle would be maximised at the expense of outside minorities.

presumably if enough disaffected shareholders could afford the international
lawyers needed to act, they could still press the regulatory authorities to act.

They could've done better had they acted a lot sooner. Masbate was always undervalued and not reflected within the Thistle share price. The value was unlocked, and is still unlocking, once the deal was done but it should have been done ages ago and not at the last moment when you've got your creditors banging on the door for payment!

What uncertainty with CGA? CGA was due a run and the deal to secure Masbate lent itself to the upward momentum. Thistle couldn't take advantage of the value of Masbate itself because of the MC/Casten debt but it could have sold it a long time ago to ensure that it benefitted from its value in good time. Unfortunately, as has been the case with all of Thistle management, the timings have been horrendous. Why sell Masbate at the very last moment when you are aware that a clause from the prior year states that MC/Casten are able to have the Masbate shares forfeited to them in the case that Thistle are unable to repay the debt? Crazy. I think a few on here trashed the notion that that is what MC/Casten might do but isn't hindsight a wonderful thing!
