With "understand" I guess you mean you are reading the tea leaves just like the rest of us and have all fingers and toes crossed for this to happen?

There are no guarantees TPL can dig themselves out of this hole by only adding more debt. The more traditional method of equity in exchange for deep dilution is still a very strong possibility -- it would be the more likely option as that is what most other companies have been doing (dilution tends to be a bit of a vicious circle/snowball effect for shares with a similar shareprice curve as TPLs).

If all warrants and all ALR's debt is converted after the EGM then the total issued shares will be nearly 900 million (we were at just over 300 million before Olisol got involved, so this is dilution by nearly a factor of 3, and all it guarantees is immediate short term survival). In such a scenario Pope would own 30% of TPL.

IMO:
Pope isn't interested in being a 30% shareholder, but I do think they are interested in remaining the most influential shareholder until they get some return on their investment or there is a real prospect of having a serious big money partner in the game who wants to take up 50% of TPL in exchange for a huge cash injection. Pope wanting the potential of 30% is, IMO, a buffer anticipating heavy dilution, and again IMO, I am not discounting dilution that will result in a further doubling of shares in issue to 1,800 million and beyond -- rather, I am already braced for it. I think all PIs should be braced for it. For every listed company that can bootstrap themselves up via debt there are hundreds who have to do it via dilution and more dilution and more dilution and...

If they stick with diluting at 3 US cents then that is somewhat reassuring to those PIs with averages for which 3 US cents is acceptable. It will of course make the prospect of getting much more than that any time soon ever diminishingly small.

It is hoped that the Kumars' and PAM conclude a restructuring of the short term loans and the funding of the drilling of existing proven wells with a reputable KAZ bank in the near term !. This would involve the Kumars' and PAM providing the KAZ bank with
assurances incl corporate guarantees and a credible business plan.

It would be interesting to know how much PAM paid for its original 64m shares.

The conversion of ALR Debt at $ 0.01593 to give 23.9m shares amounts to £300k
If the resolution at the EGM is approved on 27/1, the conversion of ALR debt for 186.3m shares shares at $0.0301 would amount to £3.16m.
If we assume PAM paid, say 20p per share for the original 64m shares, that would amount to £12.8m.
In total PAM could have paid nearly £16.3m for 274m shares

The Kumars in turn would have paid £5,9m for 280m shares, for stepping in when near
disaster struck Tethys with the Olisol debacle !.

It is likely that PAM may have paid more than 20p per share for their original 64m
shares. Hence Bill Wells and PAM are in this for the long haul in order to, at least, recover their investment with the help of the Kumars !.

In a positive, which is a good thing, once all this has been sorted and the Kumars can start exporting some oil further afield than the local Kaz petrol station then hopefully we can start getting proper oil prices. In fact the amount of time this has all taken we have seen world prices virtually double since its lows and Tethys has done hmmmmm, let me see. There is room for improvement.

Casual, I share your thoughts on the preamble garbage given out but, in all honesty, I shall be voting in favour of as, given our current shape, I just don't see any other way of staying alive & progressing towards drilling again without a firm yes vote.

If you vote no, what other ways do you think there are of Tethys surviving through to commencing drilling again?

Just waiting for Harry now to come in and provide a bit of cash for a small percentage and then Tethys is on its way to becoming what some of us invested in a few years ago..........A successful oil and gas exploration company!

Someone getting rid of 400k shares at 1.12.....I guess they needed the money. Timing seems a bit odd otherwise.

In two minds about how/if to vote at EGM. I don't believe a word of the spin they are putting on things in order to explain the warrants and 'emergency' prepayment but I don't think they are trying to shaft us, rather that this is all further knock-on effects of trying to deal with Olisol.

Based on what I have read and heard to date, Tethys are actively working towards
arranging a restructuring of the current loan arrangements, but it is likely that the
news of the new business plan will be ready, possibly, following the EGM.
At this stage of the process, we may have to accept the promise that the new team is
working towards these objectives, which has to incl funding for drilling of existing proven wells for gas and oil as well as selling the produce of those wells.
At present, I have no alternative but to hope that the new team and the Kumars will deliver on their promises. Unless, of course, you have some other party, waiting in the wings, with a much better offer !.
