   Tern Plc (AIM:TERN), the AIM-quoted company specialising in cloud and 
Internet of Things ("IoT"),  announces that, following the conclusion of 
a formal tender process, it has appointed Grant Thornton LLP as auditors 
to the Company. 
 
   Grant Thornton LLP will conduct the audit of the Company's accounts for 
the year to 31 December 2016 following the resignation of Jeffreys Henry 
LLP as auditors.  Jeffreys Henry LLP confirmed to the Company that there 
are no circumstances connected with their resignation which they 
consider should be brought to the attention of the shareholders.  The 
Board also confirms that there are no circumstances in respect of the 
change of auditor that need to be brought to the attention of the 
shareholders.
