TELEFÓNICA, S.A. as provided in article 228 of the Spanish Stock Market Act (Ley del Mercado de Valores), hereby reports the following

SIGNIFICANT EVENT

Today, TELEFÓNICA, S.A., through its wholly-owned subsidiary TELEFÓNICA EMISIONES, S.A.U., under its Guaranteed Euro Programme for the Issuance of Debt Instruments (EMTN Programme) filed with the Financial Conduct Authority (FCA) in London on September 13, 2016, has launched an issuance of Notes guaranteed by TELEFÓNICA, S.A. in the Euro market in an aggregate principal amount of 2,000 million euros.

This issue was split into two tranches. The first tranche, amounting 1,250 million euros, due on October 17, 2020, pays an annual coupon of 0.318%, issued at par. The second tranche, amounting 750 million euros, due on October 17, 2031, pays an annual coupon of 1.930%, issued at par.

The settlement and closing date is scheduled for execution on October 17, 2016.
