Completion of Placing

Tarsus Group plc ("Tarsus" or the "Company") is pleased to confirm that, pursuant to the announcement earlier today, 10,252,610 new ordinary shares of 5 pence each in the capital of Tarsus (the "Placing Shares") have been placed by Investec Bank plc ("Investec") at a price of 235.0 pence per Placing Share with existing and new institutional investors, raising gross proceeds of approximately GBP24.1 million (the "Placing").

Applications have been made to the Financial Conduct Authority (the "FCA") for admission of the Placing Shares to the premium listing segment of the Official List of the UK Listing Authority (the "Official List") and to the London Stock Exchange plc for admission to trading of the Placing Shares on its main market for listed securities (together, "Admission"). It is expected that Admission will take place at 8.00 a.m. on 7 December 2016 and that dealings in the Placing Shares on the London Stock Exchange's main market for listed securities will commence at that time.

The Placing Shares will, when issued, be credited as fully paid and will rank pari passu in all respects with the existing ordinary shares of 5 pence each in the share capital of the Company, including the right to receive all dividends and other distributions declared, made or paid in respect of such shares after the date of issue of the Placing Shares.
