Further to the announcement by the Company on 10 January 2017, the Company confirms that it has applied for admission of 3,895,938 new ordinary shares of 25p each in the capital of the Company (the "Ordinary Shares") to listing on the Official List and for such Ordinary Shares to be admitted to trading on the London Stock Exchange's Main Market.

The issue of the Ordinary Shares is pursuant to (i) the holders of subscription shares exercising their rights to subscribe for one ordinary share of 25p each in the capital of the Company for every subscription share held; and (ii) the trustee appointed pursuant to the Company's articles of association, following the passing of the final exercise date of the subscription shares, exercising the rights over all unexercised subscription shares to subscribe for one ordinary share in the capital of the Company for every unexercised subscription share.

It is expected that dealings in the new Ordinary Shares will commence at 8.00 a.m. on 16 January 2017.

Total Voting Rights

Following the admission of the Ordinary Shares noted above, the Company's issued share capital shall consist of 49,176,782 Ordinary Shares, with each share carrying the right to one vote. The Company also holds 1,985 Ordinary Shares in Treasury.

Therefore, the total number of voting rights in the Company is 49,176,782.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules sourcebook.
