Results of Annual General Meeting





At the Annual General Meeting of the Company held earlier today, all the
resolutions proposed were duly passed.



As noted in the report and accounts sent to shareholders on 5 July 2002, Mike
Watson has now retired from the Board and John Harrison has been appointed as a
non-executive director with overall responsibility for financial control. John
Harrison, aged 57, FCA, was formerly a partner with Deloitte & Touche and he is
also a director of Omgie Limited. No further information falls to be disclosed
under the AIM Rules.



Chris Phillips, Chairman of Spring Grove, commented at the AGM:



"We are pleased that John has joined the Company and his experience will help to
strengthen our finance function which is key to Spring Grove's successful
development.



In addition, the Company now has the facility to proceed with a possible
fundraising for which the resolutions passed would be used. However, the
Company will not use the authorisation to allot shares with a nominal value of
more than 5 per cent. of the issued share capital except for a fundraising,
subject to prior consultation with our major institutional investors."

Not invested directly but someone mentioned VCT`s earlier. One VCT invested is the Unicorn AIM VCT managed by Peter Webb which i am invested in. It was one of the first of the funds investments at 40p and i should have followed suit.

Bingo! Up 23% now. Obviously the secrets out to at least a few more.

I had just been thinking about the likely eps figures for next year (Jan04) - even if the recent growth rate halved we would still get 12p. On say 15 times this gives 180p as possible price target... Wishful thinking maybe but on previous form by no means impossible.

Seems odd that over 40k buying vol has gone through today though and now up 4p -wonder if it has been tipped on a website or something ?

Good to see the buying continue. Hope SGV gets a mention in W/E press.
I don't know what their divi poloicy is. I suppose that if they continue to expand organically we might get a divi, but if they get acquisitive then its less likely.
I see that major shareholders are VCTs. Do you know how long they tend to hold?

Managed a small top up before the 2p rise today - still looks well undervalued.
Hoping for a maiden divi this year from those 9p+ of earnings.

Thanks for the earnings forecast.
I bt on reading IC on 12/4.
SGV house broker Shore Capital forecast for yr ending 31/1/02 sales £7.5m and profit £400k which is virtually exactly what was achieved.Hence I guess the small share price rise.
But with earnings seemingly doubling each yr and being in a fairly safe sector it looks v cheap.
I like Parkwood (which I think u have). Similar business but lower earnings growth.
Mears is doing v similar things and is a great company- always looks too pricey.
'fraid, couldn't get into growth co site, so any feedback v welcome.

This is starting to look like a small cap growth story with great potential.
They have doubled eps over the past two years and look set to do so again, acc. to this comment on the growthcompany.co.uk website yesterday:

'Basic earnings rose 116% to 4.43p a share, and investors can expect 9.4p for 2003, placing the shares on a lowly prospective rating of just 5.5. Buy.'

We have the example of Mears (current PE 25) to show what the possibilities are in this area, and I imagine SGV may have had at least a once-over from them as regards a possible bid.

Just kicking myself I didn't get in in the mid 40s!

Results look OK to me.
On target to turnover £10m this year and make £750k profit.
Factoring costs were high but have now gone so should be a good year.
Keep holding - I am.

SGV released their prelims today with (I tkink) no warning.
I haven't seen any forecasts but they look v strong.
Several contract renewals and new contracts signed.
