Voting Rights and Capital
In conformity with Rule 5.6 of the FCA's Disclosure and Transparency Rules:-
The total issued share capital of Smith & Nephew plc at 30 November 2016 comprises 913,644,672 Ordinary Shares of US20c each ("Ordinary Shares"), including 32,833,801 Ordinary Shares held in treasury.
The Company's issued share capital, with one voting right per share, therefore consists of 880,810,871 Ordinary Shares. This is the figure which should be used by shareholders as the denominator when determining whether they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
These figures exclude the 450,000 Ordinary Shares purchased by the Company on 29 November 2016 and 450,000 Ordinary Shares purchased by the Company on 30 November 2016, which are yet to settle into Treasury.
