Deferred payments you may talk about, the likelihood is they are performance related, with the problems the probabilty is the partners to whom they are owed will waver them until the dust has settled.

Hi Groats,

I've just seen your post: All companies involved in discussions have to abide by the Takeover Code (Text below taken from the code):-

The Code is designed principally to ensure that shareholders are treated
fairly and are not denied an opportunity to decide on the merits of a takeover
and that shareholders of the same class are afforded equivalent treatment by
an offeror. The Code also provides an orderly framework within which
takeovers are conducted. In addition, it is designed to promote, in conjunction
with other regulatory regimes, the integrity of the financial markets.
The Code is not concerned with the financial or commercial advantages or
disadvantages of a takeover. These are matters for the company and its
shareholders. Nor is the Code concerned with those issues, such as
competition policy, which are the responsibility of government and other
bodies.

Rule 8.3

8.3 DEALINGS BY PERSONS WITH INTERESTS IN SECURITIES REPRESENTING 1% OR MORE

(a) During an offer period, if a person, whether or not an associate, is
interested (directly or indirectly) in 1% or more of any class of relevant
securities of an offeror or of the offeree company or as a result of any
transaction will be interested in 1% or more, dealings in any relevant
securities of that company by such person (or any other person
through whom the interest is derived) must be publicly disclosed in
accordance with Notes 3, 4 and 5.

(b) Where two or more persons act pursuant to an agreement or
understanding, whether formal or informal, to acquire an interest in
relevant securities, they will be deemed to be a single person for the
purpose of this Rule.

(c) If a person manages investment accounts on a discretionary basis,
he, and not the person on whose behalf the relevant securities (or
interests in relevant securities) are managed, will be treated for the
purpose of this Rule as interested in the relevant securities concerned.
Except with the consent of the Panel, where more than one
discretionary investment management operation is conducted in the
same group, the interests in relevant securities of all such operations
will be treated for the purpose of this Rule as those of a single person
and must be aggregated

What are these ''Rule 8.3 RNSs'' about. Does it mean they have bought and sold?

this is a risk still even if a merger does come off you are looking at tiny premiums

Why has the company not said how much in fees it has cost the company to
keep bank support.

The other question when does the current facility expire ?

Still too many questions unanswered. Anyone know how much in deferred payments
the company has agreed to on all those purchases

Few buy's starting to appear,

NJD, I would take it as a ongoing commitment from RBS should /shouldn't the deal go through.

True, it might.

groats

Given the general uncertainty, it ranks lower than other opportunities. Bank support is certainly good news and I'm presuming is an ongoing committment should the merger not proceed.

NUMS doing its job now as house broker. Now on the bid after selling all those shares higher. Hmmmmmmmmmmmm

They must have known the news was coming being the house broker. All very interesting.

Your all talking as if it's signed, seal & delivered. Read the header Potential merger.

Also take from the 1st RNS the words ''also pleased to announce'' at the bottom!

Each to their own though!

Think you're wise, scots, if it was only a short term play. I've done the same. Will re-assess when we see the terms of the deal.
