02/12/2015 09:06 | According to Vasco website, the deal completed on 25th Nov as planned. I am hoping my cheque will be mailed today Wed 2nd Dec. Nominee holders (unless you have filed a letter of dissent) will have been exchanged into Amalco shares. You need to check that your nominee has sent the "letter of transmittal" (obviously you would have to authorise them to do so). I do not think that the Paying Agent will send a cheque without it. 30/11/2015 17:26 | Parvez I am in the same situation as your son. My shares are held through Barclays Nominees Ltd. They are in a Barclays Stockbrokers MarketMaster account. Russman told us about 4 weeks ago that he had received the bulky takeover package by post, having got his name (so I understand) onto the share register. Your son and I are several steps behind him. Barclays Stockbrokers Corporate Actions Team are in Glasgow whereas Barclays Nominees are in London. The Team have still not received this package but I do not know whether it ever reached the Barclays Nominees. Does your son hold his shares through Barclays ? If so, then he will be in a similar position. I have given the Team Matt Lane's email and asked them to seek his directions but believe that they have not yet obtained an answer from him. His address is matt_lane@silanis.co I am trying to impress upon the Team that this matter is urgent because we are meant to lodge the completed forms "in a timely fashion". I cannot see these on either the Silanis or Vasco web-sites. 04/11/2015 00:43 | Well I have read the brick. It says 1:1 exchange our SIL to Amalco but strange no reconciliation given; I will have to ask Matty for clarification. Never used Barclays; I would keep a close eye on them, it is a very short timetable. It is a done deal, we do not have a choice. Get the forms in pronto. The brick says no Canadian tax payable; I am subject to UK Capital Gains Tax. Went to Lloyds, there is a 4 page form for non-sterling cheques. Yes it costs, yes it takes 3 weeks. I will ask Matty if there is a sterling option i.e pay out in Jersey to "muddy" the trail. No harm in asking, we are paying their fees. | russman | |

Profits for the Silanis Group seemed to be only a distant prospect I stand many steps behind you since my shares are still held in a Barclays Stockbrokers account but hope that I shall arrive at the same happy destination. 03/11/2015 09:19 | russman! halfway through the read of it all zzzzzzzzzz. really needs a thorough read though. not liking the indemnity liabilities we're forced to accept but heyho. canadian tax position is sort of explained in the gumpf but i had a look on canada tax agency site and it does go into it a bit more in detail if you look hard enough. i think the bit for Non-resident qualifying shareholders which says no tax is required to be paid - that might be true for Canada tax, but i think tax might still require payment according to the non-resident's own country - that should've been included i think. although the general disclaimer in the pack of 'this is not financial advice' probably covers that. assuming it probably needs declaring somewhere on UK foreign income/cap. gains etc. - i've not really looked yet. | moosh2 | |
02/11/2015 23:34 | Yes. Large paper brick gave my Postie a Hernia. Initial read of headlines seems okay. I have got to check 1 of our SIL converts into 1 Amalco share. The offer is US0.77 per Amalco share; less 10c held in escrow (hope to be paid later after adjustments). Got to double check these forms, they need to be 100% correct. Got to check the Canadian tax position. Got to check with my Bank whether they can cope with a very large dollar "deposit". Money Laundering etc, who knows never had this happy problem before. The very recent earnings report from Vasco Data Security tells shareholders how pleased their board is with the Silanis Technology acquisition which uses up only part of their spare cash.
