Result of General Meeting
SerVision (AIM: SEV), the AIM quoted developer and manufacturer of digital video security systems, is pleased to announce that all resolutions proposed at the general meeting of the Company held earlier today were duly passed.
As a result, completion of the allotment and issue of the 5,145,714 Conditional Placing Shares and 12,898,142 Subscription Shares (as described in the Company's announcement of 2 November 2015) is conditional only on Admission of the Conditional Placing Shares and the Subscription Shares. Following such approvals and save only for Admission, the Placing and Subscription as announced on 2 November 2015 is now complete.
Application has been made to the London Stock Exchange for the Conditional Placing Shares and the Subscription Shares to be admitted to trading on AIM. Admission is expected to take place at 8.00 a.m. tomorrow, 27 November 2015.
Following Admission, the Company's issued share capital will consist of 126,801,751 ordinary shares of 1 pence each and the total number of voting rights in the Company will be 126,801,751. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
At the meeting, Gidon Tahan, Chairman and CEO of SerVision, made the following comment: "The Company is delighted that shareholders have approved the previously announced capital raising with the funds being utilised to enable the Company to fulfil its order book. The Company looks forward to providing further updates to shareholders in due course."
Defined terms in this announcement should be taken to have the same meaning as set out in the announcement released on 2 November 2015.
