The only reason they would possibly do this is if they knew the offer is close to the current share price. Why would they sell a third of their holding if they could get a better price within days? Sell half now to cut the possible downside of no bid followed by further profit warnings, and hold the rest for the possible upside of an attractive bid. On several shares I've followed, Henderson have shown themselves very happy to fiddle about taking small profits for small risks, even while maintaining large holdings. I find it hard to understand Hendersons' strategy, unless: a) they are convinced that the bid will fail and the company will collapse b) they have some sort of sweetheart deal which ensures they make money some other way (including on the remaining shares) .. they certainly are helping Hytera by keeping the price low, but it is not obvious to me how they benefit themselves. c) they feel too exposed to the risk of a) and want to have fewer eggs in this basket. ll | loss-leader | |

They want this deal to go through and know it will if there is an acceptable premium to today's share price.
