22p is the maximum offer. Expect a share price below 10p if the bid falls through.

I find the theory that Henderson's are selling to keep a lid on the price truly bizarre. The only reason they would possibly do this is if they knew the offer is close to the current share price. Why would they sell a third of their holding if they could get a better price within days?

Oakham's Razor. The simplest explanation is usually the correct one.

Dalailama, agreed and as previously supposed. They've sold approx one third and are still holding two thirds. They'd have sold much more aggressively if they want out.

sweenoid - while in general I agree with your thesis, it is surely most likely that they see it as a risk reduction exercise? Sell half now to cut the possible downside of no bid followed by further profit warnings, and hold the rest for the possible upside of an attractive bid. On several shares I've followed, Henderson have shown themselves very happy to fiddle about taking small profits for small risks, even while maintaining large holdings. It's probably a computer that makes the trading decisions anyway ;¬)

you guys seem to credit fund managers with more 'skill' than most possess

surely it would be against all FSA rules to 'collude' in any negotiation or bod process.

i think the scenario is more like 'rabbit caught in the headlight and hasn't got the faintest idea which way to run'

Same as you loss-leader - scratching my brains to fathom Henderson's actions. Unless, of course, they are trying to keep the share price stable so that there is more chance of an offer going through?

At what point would any stake being built by/for Hytera have to be disclosed?

I find it hard to understand Hendersons' strategy, unless:

a) they are convinced that the bid will fail and the company will collapse
b) they have some sort of sweetheart deal which ensures they make money some other way (including on the remaining shares) .. they certainly are helping Hytera by keeping the price low, but it is not obvious to me how they benefit themselves.
c) they feel too exposed to the risk of a) and want to have fewer eggs in this basket.

In my view Henderson are making sure peeps don't get over excited and start expecting 70p. They want this deal to go through and know it will if there is an acceptable premium to today's share price.

They still hold 40 million shares, if they were dumping them they'd be all gone by now.

Anyone has any idea how Henderson managed to sell the 1mln+ shares on Friday (according to the rns) where much less than that was traded on the day?

Hytera's share price ended UP 4.8% today
It hit an all time high after return from suspension

This is massively positive for a good bid
The market knows about the bid and is in no way disapproving , I think they know they will get Sepura at a bargain price ?

I am becoming increasingly confident of a nice Xmas cracker present here, it certainly adds a frisson of excitement to the morning awaiting news one way or the other
