Royal Boskalis Westminster N.V. (Boskalis) announces that the Extraordinary General Meeting of Shareholders (the Meeting) today formalized the cancellation of the voluntary large company regime.
Furthermore, the Meeting adopted the proposal to reduce both the authorized share capital and the nominal value of the ordinary and cumulative protective preference shares. The authorized share capital of Boskalis now amounts to EUR 4.8 million with 240 million ordinary shares and 80 million cumulative protective preference shares. The respective nominal value per share now amounts to EUR 0.01 and EUR 0.03.
In addition the opportunity has been taken to align the text of the Articles of Association with recent Dutch statutory amendments.
