man1, I've known you a long time, and know your credentials are impeccable, so when you say things like this I sit up and take notice.

Are you going to come on here and refute this statement Mr Heaton? Or are you going to remain hidden behind a "no comment". This is serious stuff, and can affect all shareholders (even though your cronies insist you are acting on behalf of all shareholders). If this is not happening I think you now need to go public and say so - if you remain silent (again) people will have to draw there own conclusions.

And as I've said before, I don't want to hear it one-to-one, it needs to be out in the open.

Talking to the board there are many things that will improve the sentiment of the company allround .
First off the board and JH or /and Bigglo need to get things sorted once and for all so that a line can be drawn for us to move forward .
i dont care which way this comes about , but either bigglo take the board to court for damages or whatever or the board take Bigglo and all associated parties to court and sue for damages.
But you cant move forward when people are contacting suppliers / agents / magazine publishers where the board are trying to promote products and people are accusing them of being corrupt and the companies should not be doing business with them .
But as its already been stated these shareholders/non shareholders still voted in favour of a divi payment, but are damaging the company prospects with their actions .

So i urge anyone / everyone to lets get whatever the issues are resolved.
i spoke to the board about doing several road shows around the country in order to reach the broader shareholders .They seemed quite keen on this so that is one option .

If anyone has questions for the board just e mail them . or email me at the e mail reflecsag@hotmail.co.uk and i will ensure you get a prompt reply ...

as for the products etc .......
Any ideas need forwarded to the company or uses for products or contacts so that all avenues to sell products are explored .
As for the share price etc ..There are options which i have discussed which are similar to what has happened in other companies ...
but lets see what others have to say first ...

You know the only question raised by a non shareholder on behalf of BIGGLO was by the ex chairman of the joint venture David Franklin who had been requested to ask if the AGM could be moved to Crewe which would benefit more shareholders being able to attend because of its rail links etc ..
The only people who would benefit from this is the BIGGLO contingent as most live that side of the country ..

if they are speaking on behalf of all shareholders why not make a proposal to move the meeting to a more central rail hub / motor hub ...Manchester / Preston / Carlisle / Birmingham / Glasgow / Leeds .

So lets get this company moving ...We are All in this for the same reason arent we ??? To make money ...

Reflec PLC announce payment of the final dividend for the year ending 28 February 2013

Dear Shareholder,

We are pleased to inform you that following the approval of Resolution 5 at the Annual General Meeting held on 24 May 2013, Reflec PLC will be making a final dividend payment, for the financial year ending 28 February 2013, of £3.00 per Ordinary Share of £50.00.

The Record Date will be the 7 June 2013.

Cheque payments will be posted to holders of Reflec Ordinary Share £50.00 around the 20 June 2013. For those shareholders whose preference was to receive their payment by direct bank transfer, these payments will be in bank accounts on 21 June 2013.

Payments will also be made to qualifying Nominee Account Providers and it will be their responsibility to distribute corresponding dividend payments to their clients as appropriate.

Hi All,
I did attend the Agm and i must say IMHO the company seems to be in reasonable shape ..

I must say i was very disappointed that a significant number of people at the AGM were not shareholders and their only purpose for being their was to intimidate the board with their proxy votes.

Repeated requests from the board for an open and frank discussion with what can only be described as the Bigglo contingent on ongoing issues or grievance which needed to be resolved were met with the words NO COMMENT ||||||
Although the shareholders then had a meeting after the AGM to discuss what they hadn't discussed at the AGM !!!!!

IT WAS ALL VERY BIZZARE !!!!
If anyone from that meeting would like to open up a debate with the rest of the shareholders feel free..

I did ask the board how much the current dispute with shareholders had cost in the last financial year and was told in excess of £40K . Which to every shareholder works out around another £3 divi ..So to me thats £700..

SO THANKS FOR THAT !!!!!!!!!!!!!!!!!


Highlights from the three divisions ....

As with everyone the current poor economic climate means that our american friends are finding the going tough, but they have good quality products and with their own skills and commitment im sure they will continue to be successful.

I along with other true shareholders at the AGM we wish them every success.

The recent agreement with the Asia party has recently resulted in the largest order for materials which in time will filter down to the royalty line...

Reflec media we were told by Paul Holdcroft does suffer from the economic climate , although the recent agreement with the uk distributor will hopefully bear fruit .
The board was very excited about a recent deal / or deal in the offing which will either result in an uplift in the prospects of media in the short term ..
Or it could be good for media medium term , no details were given as i believe the board are unsure which way it will go and dont want to give any false promises .


As for evolution the unique / specialised division which has a good reputation for quality product and customer service has a couple of decent opportunities coming its way .
We were told that it is soon to go on a 24 hour production frenzy over the next 6 months to meet a clients demands. If the client then has a decent market for its product the company could expect a significant contract which the company would need to invest £400k on new machinery etc ..
The board stated it was aware of the current financial climate and restrictions on small business loaning funds . It was stated that the company would be able to fund the investment from its own reserves . This is all due to the prudent approach the company has taken with shareholders funds since the new board was appointed 4 years ago..

I will comment further shorty ...

But would just like to wish the board every success for the future ...And thank them for their continued hard work and commitment to the company....

From the results of the AGM does that mean that the mighty 97, who are acting on behalf of ALL shareholders, apparently, have actually only got about 18% of the shares in issue?

Results of AGM just published:

At Reflec's Annual General Meeting held on Friday 24 May 2013 at Howard Worth
Chartered Accountants, Drake House, Northwich all of the Resolutions were passed.

The results of the proxy votes received by post were as follows –

Resolution 1 Accounts & Reports For: 81.56% Against: 18.44%
Resolution 2 Re-appoint John Kinder For: 81.98% Against: 18.02%
Resolution 3 Re-appoint Martin Cope For: 81.61% Against: 18.39%
Resolution 4 Re-appoint Auditors For: 81.62% Against: 18.38%
Resolution 5 Final Dividend For: 98.38% Against: 1.62%

Following the passing of Resolution 5 in respect of the Final Dividend payment, the Board can confirm that the Record Date will be 7 June 2013 with a Pay Date of 21 June
2013.

For the attention of Reflec PLC shareholders -

The Company is aware that Mr John Heaton (a shareholder of the Company) and at least one other person connected with him, are currently contacting shareholders and encouraging them to exercise their proxy vote for the forthcoming AGM on 24th May 2013 in favour of Mr Heaton or those connected with him. Mr Heaton\'s agenda for seeking the support of shareholders at the forthcoming AGM is unknown.

Since May 2012, the Company has received a number of written requests for information and allegations from solicitors instructed by Mr Heaton. The Company has responded appropriately to these requests and allegations and the board is entirely satisfied that at all times it has acted in accordance with the Company\'s constitution and in the best interests of the Company and its shareholders. Mr Heaton has not pursued any legal proceedings concerning the Company or its directors in relation to the matters raised by his solicitors.

As detailed in the Chairman\'s Statement which accompanies the Company\'s Annual Report and Financial Statements for the year ended 28 February 2013, all shareholders are invited to take part in a full and open discussion at the forthcoming AGM in relation to any questions any shareholders have regarding the events and achievements of the past five years.

The Company would encourage shareholders to consider their responses to any issues or questions raised by shareholders at the AGM prior to giving consideration to any approach made by Mr Heaton or those connected with him as detailed above.

Sorry, but it has been pure luck of timing with me.
My holdings are in a nominee ac within Hargreaves Lansdown.
I can access the site on-line and have been able to move money via bed & isa for the last two fin years for myself & wife. Saved a hell of a lot of a possible tax problem!!! KEEP AWAY Mr Osborne!!!!

H L keep bombarding me with SIPP info, as a tax umbrella, but i have not looked into it. I may be foolish i really don't know.

As i say it has been pure luck that i had a holding within my isa, and moved our yearly allowance into it vis bed & isa.

I have an holding outside of my isa, that is causing a concern...Could be a tax problem, but i have decided to leave well along, until next tax year and do a bed & isa again, and gift some to the wife.

BUT at this rate of incline with TCG, that headache will/could persist.
My broker told me it only becomes a tax problem, when i sell them!!! i know i am allowed approx £10k + initial sum per tax year.. I may sell some as end of tax year approaches, some time to wait.

I have no intention of doing that, if i need to sell some they will be within my ISA.

I am really suprised that your broker does not help you out, or that they seem not to be offering a bed & isa facility

No financial advice recommeded here.
