That RNS is quite extraordinary, trying to distance himself from the fiasco here saying he was a non-executive director it was under his leadership that RAM was run down to a point nobody else could save it.

That is quite disgraceful of him.

Director Declaration

TXO, the AIM-quoted energy resource and clean technology investment company, announces that it has become aware that Trevor John Binyon and Steven John Parker of Opus Retructuring LLP have been appointed as joint administrators of RAM Active Media plc. Tim Baldwin, Chairman of TXO plc, is a former non-executive director of RAM Active Media plc, having left in May 2013.

I believe the following easily verifiable facts play a big part in this:

Year to 31 Dec 11 total directors' emoluments = £668,950

23 May 2012 David Wyn Binding and Richard Charles Prosser join the board.

Year to 31 Dec 12 total directors' emoluments = £322,477

DB and RP are the guys who records will show went down with the ship, but they are not the guys who ran it into the iceberg, they are the guys who were bailing like mad to keep it afloat whilst Tim, having run the ship into the iceberg in the first place through his own greed and incompetence, was pouring more water back in than anyone could possibly bail.

There will be wailing and gnashing of teeth as the rust bucket RAM slips below the waves and recriminations will doubtless fly in all directions. Some will originate from the guy who is responsible for sinking the ship and his cronies, however we will remember who really destroyed RAM:

TIMOTHY EDWARD BALDWIN

I hope the forensic accountants find enough evidence to have him barred from holding a directorship ever again, a prison sentence would be a bonus.

Tomb-raider - I think the salient point in your thread is "and not forgetting outside interference of course".
The management have been plagued by continual interference from former Board members and any interference has been devoid of objectivity. It has been fuelled by one small man's (ill conceived) belief in himself and having no regard for his co shareholders or the creditors - and he will will continue to pursue this as it is his signature with all he touches.

Amedeo Resources, formerly Creon Corporation, are an example of a distressed company showing a turnaround of fortunes after a number of year in the doldrums and a change in direction.Doesn't look likely for RAM now, with the difference being management that can broker a deal, have respect in the city and a sound investment strategy..... an not forgetting outside interference of course.Remains very disappointing... and thought we would have been put out of our misery by now !"T"

The main duties of liquidators are to:

report any suspected criminal offence by the company, a past or
present officer (director, secretary, and so on) or any member to the
Office of the Director of Corporate Enforcement (ODCE) and the
Director of Public Prosecutions.

Is it any wonder that certain parties are desperate to prevent a liquidator being appointed.

As I said before a lot goes on behind the scenes that is never made public.

The old RAM is completely dead, TB killed it and nobody could resuscitate it. AIM listings however have value and there is a chance RAM could become a shell. If this does happen dilution will be horrible and unless you have a really big holding it may well turn out that it would cost you more to sell than your holding is worth.

More shafted than administration and a write off ?

Of course massive dilution could amount to the same thing.... but live in hope.

In situations like these there is a lot of behind the scenes stuff that goes on that never gets made public. I think TB left RAM in such a diabolical state that even without his continued interference it would have been impossible to save without a multimillionaire stepping in and taking it on as a pet project. I know RP and DB did try their hardest to find new investment but with years of failure and broken promises behind them from the TB years who could have any confidence that if they piled a load more money in they would eventually see a return on investment.
