                                                                shall vest in equal semi-annual instalments over the 
                                                                three years following 18 January 2017; 
                                                                provided that Michael MacLean continues to be employed 
                                                                by PureTech Health plc on each such 
                                                                vesting date. 
                                                                Following vesting, Michael MacLean will be required to 
                                                                make a payment of one pence per Ordinary
